1. This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Professor. Payment shall be made in quarterly instalments of EUR 11,375.00, due on the last business day of each quarter (30 September, 31 December, 31 March, and 30 June 2026), via bank transfer to the IBAN specified in Section 2. Late payments shall incur interest at the rate prescribed by French commercial law (Code de commerce, Article L441-10).
4. The Professor is engaged as an independent service provider under this Purchase Order and shall not be considered an employee of Université Lumière Lyon 2. The Professor shall be responsible for all applicable social security contributions, income tax obligations, and professional liability insurance in France Lyon.
5. All intellectual property, lecture materials, examination papers, and research outputs produced specifically for this Purchase Order shall remain the property of the Purchasing Entity, unless otherwise stipulated in a separate intellectual property agreement.
6. The Professor shall comply with all data protection regulations, including the French implementation of the EU General Data Protection Regulation (GDPR), when handling student records and research data within France Lyon.
7. Either party may terminate this Purchase Order with 30 days' written notice. In the event of early termination, the Professor shall be compensated for all services rendered up to the effective date of termination, pro-rated on a per-session basis.
8. Any disputes arising from this Purchase Order shall be resolved through the competent courts of France Lyon, in accordance with French civil and commercial law.

All services under this Purchase Order shall be delivered at the primary campus of Université Lumière Lyon 2, located at 16 Avenue Berthelot, 69007 France Lyon, France, or at such other venue within France Lyon as may be mutually agreed upon in writing. The Professor shall ensure punctuality and professional conduct consistent with the expectations of a senior academic in the France Lyon higher education community.
