1. Purpose and Context of This Purchase Order

This Purchase Order is formally issued by Professor Dr. Émile Laurent, serving as the principal investigator and departmental chair at Aix-Marseille University, to authorize the procurement of specialized laboratory equipment, optical components, and research consumables required for the ongoing "Quantum Coherence in Photonic Crystals" research programme (Grant No. ANR-2024-QPC-0117). This Purchase Order is governed by the public procurement regulations applicable in France and complies with the internal purchasing policies of Aix-Marseille University. 3. Payment Terms and Conditions

3.1 Payment shall be made by bank transfer (virement bancaire) to the supplier's designated account within thirty (30) calendar days of receipt of a valid invoice conforming to the terms of this Purchase Order. The remitting account shall be that of Aix-Marseille University, BNP Paribas, Marseille, France (IBAN: FR76 3000 4000 0100 0000 0000 000).

3.2 A retention of five percent (5%) of the total Purchase Order value shall be withheld until final acceptance and successful commissioning of all equipment by Professor Laurent and his designated technical staff. The retention shall be released within fifteen (15) business days of written acceptance.

3.3 All prices are quoted in Euros (EUR) and are inclusive of packaging, insurance, and delivery to the specified address in Marseille, France. No additional charges shall apply unless expressly agreed in writing by the Professor and the university's procurement office.

3.4 In the event of non-delivery or defective goods, the Professor reserves the right to reject the shipment and demand a full refund or replacement within the warranty period of twenty-four (24) months from the date of installation.

4. Delivery and Installation

4.1 All items under this Purchase Order shall be delivered to the laboratory of Professor Dr. Émile Laurent, Room B-214, Building 500, 163 Avenue de Luminy, 13288 Marseille Cedex 09, France. Delivery is scheduled for no later than 15 September 2025.

4.2 The supplier shall provide on-site installation, alignment, and initial calibration of all major equipment (Items 01, 02, 05, and 06) at the Professor's laboratory in Marseille. A minimum of two (2) days of on-site training for the Professor's postdoctoral researchers and doctoral students shall be included at no additional cost.

4.3 The supplier shall coordinate delivery logistics with the university's facilities management office at least ten (10) business days prior to the scheduled delivery date to ensure appropriate loading dock access and safety compliance within the Luminy campus in Marseille.

5. Applicable Law and Dispute Resolution

5.1 This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic, including the French Public Procurement Code (Code de la commande publique) and applicable European Union directives on public procurement.

5.2 Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal Administratif de Marseille, France, unless otherwise mandated by applicable public law.

5.3 This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements, whether written or oral.

All correspondence regarding this order shall be directed to Professor Dr. Émile Laurent at the address above or to the university's central procurement office, Service des Achats, Aix-Marseille University, 58 Boulevard Charles Livon, 13284 Marseille Cedex 05, France.
