Terms and Conditions
1. Scope of Purchase Order: This Purchase Order is issued by Professor Dr. Heinrich von Steinbach, Chair of Applied Quantum Physics, Friedrich-Alexander-Universität Berlin, for the procurement of specialized scientific instrumentation, academic literature, and associated professional services. All items are intended for use in the Professor's research laboratory and graduate teaching programs located in Germany Berlin.
2. Acceptance: The supplier, TechnoLab Scientific GmbH, acknowledges receipt of this Purchase Order and confirms that all listed items are available for delivery to the specified address in Germany Berlin within the stated timeframe. Acceptance of this Purchase Order constitutes a binding contractual agreement between the Professor's office and the supplier.
3. Delivery and Risk: All goods shall be delivered DAP (Delivered at Place) to the Professor's laboratory at Friedrich-Alexander-Universität Berlin, Invalidenstraße 42-43, 10115 Berlin, Germany Berlin. Risk of loss transfers to the purchasing party upon physical delivery at the named location in Germany Berlin. The supplier is responsible for all packaging, crating, and insurance during transit within Germany Berlin.
4. Inspection and Acceptance of Goods: The Professor or his designated laboratory manager shall inspect all delivered items within five (5) business days of arrival in Germany Berlin. Any defects, discrepancies, or non-conformities must be reported in writing to the supplier within this period. Failure to report within this window constitutes acceptance of the goods as conforming to this Purchase Order.
5. Payment: Payment of the full Purchase Order amount of 207,105.80 EUR (including 19% VAT applicable in Germany Berlin) shall be made via SEPA bank transfer to the supplier's designated account within thirty (30) calendar days of the date of the supplier's valid invoice. The Professor's office shall process payment through the university's central accounts payable department in Berlin.
6. Warranties: The supplier warrants that all equipment delivered under this Purchase Order shall be new, unused, and free from material defects for a minimum period of twenty-four (24) months from the date of installation in Germany Berlin. The two-year maintenance contract (Item 8) supplements but does not replace the manufacturer's standard warranty.
7. Intellectual Property and Academic Use: All equipment and materials procured under this Purchase Order are intended exclusively for academic research and instructional purposes under the supervision of the Professor. The supplier grants no license for commercial use of any proprietary software or firmware embedded in the delivered systems.
8. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany Berlin. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.
9. Data Protection: In accordance with the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG), all personal data exchanged in connection with this Purchase Order shall be processed solely for the purposes of fulfilling the contractual obligations herein. The Professor's office and the supplier each act as independent data controllers.
10. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or supply chain disruptions affecting delivery within Germany Berlin. The affected party shall notify the other in writing within forty-eight (48) hours of the occurrence.
