- Scope of Engagement: The Professor shall perform all duties and services as outlined in this Purchase Order with professional diligence, academic integrity, and in accordance with the highest standards of the Indian academic and research community. All work shall be conducted primarily in Bangalore, Karnataka, India, unless otherwise agreed in writing.
- Payment Terms: Payment shall be made within 30 days of receipt of a valid tax invoice from the Professor. Payment shall be processed via NEFT/RTGS to the bank account specified above. The Buyer shall deduct TDS at 10% under Section 194J of the Income Tax Act, 1961, and issue Form 16A to the Professor at the end of the financial year.
- Intellectual Property: All research outputs, code, models, and documentation developed specifically under this Purchase Order shall be the joint intellectual property of the Professor and QuantumEdge Technologies Pvt. Ltd., Bangalore. Commercial exploitation rights shall be governed by a separate IP agreement to be executed within 15 days of this Purchase Order.
- Confidentiality: The Professor agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and data of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years, in compliance with the Indian Information Technology Act, 2000.
- Delivery Schedule: All milestones and deliverables shall be submitted as per the timeline agreed upon in the Statement of Work (SOW) annexed to this Purchase Order. The Professor shall provide monthly progress reports to the Buyer's project management team in Bangalore.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Professor shall be compensated for all services rendered up to the date of termination, less applicable TDS deductions as per Indian tax law.
- Dispute Resolution: Any disputes arising out of or in connection with this Purchase Order shall be resolved through arbitration in Bangalore, Karnataka, India, in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Bangalore, and the language of arbitration shall be English.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India. The courts at Bangalore, Karnataka shall have exclusive jurisdiction over any matters arising hereunder.
- Compliance: The Professor warrants that all services rendered shall comply with applicable Indian laws, including but not limited to the Income Tax Act, 1961; the GST Act, 2017; the Copyright Act, 1957; and any institutional guidelines of the Professor's affiliated university in Bangalore.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government orders, or public health emergencies as declared by the Government of India or the Government of Karnataka.
