- Scope of Professor's Engagement: Professor Dr. Layla H. Al-Rashid shall deliver a minimum of 120 contact hours per semester of graduate-level instruction in Structural Engineering at the Baghdad campus. The Professor shall also serve as the principal investigator for the Seismic Resilience Research Project and shall supervise all 12 designated PhD candidates throughout the 2025/2026 academic year.
- Delivery and Installation: All laboratory equipment (Items 04, 05, and 08) shall be delivered to the Professor's designated laboratory in Building C, Al-Rafidain University, Al-Mansour District, Baghdad, Iraq, no later than 30 August 2025. Installation, calibration, and a 72-hour operational test shall be completed prior to the start of the autumn semester.
- Payment Terms: Payment shall be made in three (3) equal installments: 40% upon execution of this Purchase Order, 35% upon delivery and acceptance of all equipment and completion of the first semester, and 25% upon satisfactory completion of the academic year and submission of the Professor's final research report. All payments shall be processed via bank transfer to the account designated by the Professor in accordance with Iraqi Central Bank regulations.
- Compliance with Iraqi Law: This Purchase Order is governed by the laws of the Republic of Iraq, specifically the Iraqi Public Procurement Law No. 22 of 2013 and the Higher Education Law No. 40 of 2015. All transactions shall comply with the financial regulations of the Ministry of Higher Education and Scientific Research, Baghdad.
- Intellectual Property: All research outputs, publications, patents, and data generated by the Professor under this Purchase Order shall be jointly owned by the Professor and Al-Rafidain University. The Professor retains the right to publish findings in peer-reviewed journals, provided the university is acknowledged as the funding institution.
- Performance Standards: The Professor shall maintain a minimum student evaluation score of 4.0 out of 5.0. Failure to meet this standard for two consecutive semesters shall trigger a formal review by the Dean's Office in Baghdad.
- Warranty: All equipment procured under this Purchase Order carries a minimum 24-month manufacturer's warranty. The Professor's laboratory team shall be trained on all equipment prior to handover.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Professor shall complete all in-progress student supervision obligations, and the University shall settle all outstanding payments for services rendered up to the termination date.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to internal mediation by the University's Legal Affairs Office in Baghdad. Unresolved disputes shall be referred to the competent courts of Baghdad, Iraq.
