Terms and Conditions
- This Purchase Order, issued by Professor S.r.l. of Naples, Italy, constitutes a binding offer to purchase the goods and services described herein. Acceptance by the supplier shall be confirmed in writing within five (5) business days of receipt of this Purchase Order.
- All items must be delivered to the Professor S.r.l. facility at Via Toledo 245, 80132 Naples (NA), Italy, no later than the Required Delivery Date specified above. Late delivery beyond ten (10) business days entitles Professor S.r.l. to cancel this Purchase Order without penalty.
- Payment shall be made via bank wire transfer to the IBAN specified above within thirty (30) calendar days of receipt of a valid invoice from the supplier, in accordance with Italian commercial law and the provisions of the Italian Civil Code.
- All equipment must comply with current European Union directives (CE marking) and Italian national safety standards. The supplier warrants that all products are new, unused, and free from defects in materials and workmanship.
- The supplier shall provide all necessary documentation, including invoices, certificates of conformity, and safety data sheets, in Italian and English, as required for Professor S.r.l.'s records in Naples, Italy.
- Any disputes arising from this Purchase Order shall be resolved under the jurisdiction of the competent courts of Naples, Italy, in accordance with Italian law. The parties agree to attempt mediation before initiating any legal proceedings.
- Professor S.r.l. reserves the right to modify, amend, or cancel this Purchase Order in whole or in part by written notice to the supplier. Any such modification shall be subject to mutual agreement in writing.
- The supplier shall maintain adequate insurance coverage for all goods in transit to the Professor S.r.l. Naples facility. Risk of loss passes to Professor S.r.l. upon delivery and acceptance at the designated location in Naples, Italy.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of Italy. The Italian Civil Code and applicable regional regulations of the Campania region shall apply to all matters not expressly addressed herein.
