All items specified in this Purchase Order shall be delivered to the Professor's designated laboratory and office space at Osaka Metropolitan University, Nakanoshima Campus, Kita-ku, Japan Osaka. The vendor is responsible for all logistics, including freight, insurance during transit, and final-mile delivery within the Japan Osaka city limits. Delivery must be completed no later than 05 August 2025. Installation of the confocal microscope and laser systems must be performed by certified technicians and completed within five (5) business days of delivery. The Professor's office furniture and workstation shall be installed and configured to the Professor's specifications prior to the start of the Autumn 2025 academic term.
5.1 This Purchase Order is governed by the laws of Japan and the commercial regulations applicable in the Osaka Prefecture. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Osaka District Court in Japan Osaka.
5.2 The vendor warrants that all equipment supplied under this Purchase Order is new, unused, and free from defects in materials and workmanship for a period of no less than twenty-four (24) months from the date of installation.
5.3 The Professor's office and laboratory shall be the sole point of contact for all delivery coordination, access scheduling, and acceptance inspections. The vendor must coordinate with the Professor's administrative assistant, Mr. Hiroshi Sato, at least seven (7) business days prior to any scheduled delivery or installation activity.
5.4 Payment shall be made via bank transfer to the vendor's designated account in Japan Osaka within forty-five (45) days of receipt of a valid invoice, provided that all goods and services have been accepted in writing by the Professor or his authorized representative.
5.5 The vendor shall comply with all applicable Japanese regulations regarding the import, installation, and operation of laser equipment and optical instruments, including the Act on the Control of the Use of Lasers (Laser Act) and relevant safety standards issued by the Ministry of Economy, Trade and Industry (METI).
5.6 This Purchase Order may be amended only by mutual written agreement between the Office of the Professor and the vendor. No verbal modifications shall be binding.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the benefit of the Professor and the academic operations of Osaka Metropolitan University in Japan Osaka.
