- This Purchase Order is issued by The University of Tokyo, located in Bunkyo-ku, Tokyo, Japan, and is governed by the laws of the State of Japan. All disputes arising from this Purchase Order shall be resolved under the jurisdiction of the Tokyo District Court.
- All items specified herein are to be delivered to the designated laboratory facilities on the Hongo Campus, Tokyo, Japan, no later than 31 August 2025. The Professor's research schedule requires timely installation and commissioning prior to the autumn semester.
- The supplier shall provide full installation, alignment, and initial calibration of all major instruments at the delivery location in Tokyo, Japan. A written commissioning report signed by both the supplier's engineer and Professor Tanaka shall be required before acceptance.
- Payment shall be made within sixty (60) calendar days of receipt of a valid invoice and the signed commissioning report. Payment shall be processed via bank transfer to the supplier's registered account in Japan. The University of Tokyo reserves the right to withhold payment in the event of non-conforming delivery.
- All equipment must comply with the safety and electromagnetic compatibility standards set forth by the Japanese Ministry of Education, Culture, Sports, Science and Technology (MEXT) and the Radio Law of Japan. The supplier warrants that all items are new, unused, and free from defects.
- The annual maintenance contract (Item 5) shall commence upon the date of final acceptance and shall include a minimum of four on-site service visits per year at the Tokyo laboratory. Emergency response time shall not exceed forty-eight (48) hours for critical instrument failures.
- The training programme (Item 6) shall be scheduled in consultation with Professor Tanaka and shall be conducted in Japanese or English at the supplier's discretion, provided that all technical documentation and manuals are available in both languages.
- Any modifications, substitutions, or changes to the specifications listed in this Purchase Order must be approved in writing by Professor Tanaka and the University's Research Procurement Division before implementation. Verbal agreements are not binding.
- The supplier shall maintain full insurance coverage for all goods in transit to Tokyo, Japan, and shall bear all risk of loss or damage until the items are formally accepted at the delivery location.
- This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein. No amendment shall be effective unless made in writing and signed by authorised representatives of both parties.
