Terms and Conditions of this Purchase Order
- This Purchase Order is issued by the University of Auckland, New Zealand, and is authorised by Professor Aroha Ngata, PhD, in her capacity as Head of the Quantum Photonics Research Group. All terms are governed by the laws of New Zealand.
- The supplier, Pacific Scientific Instruments Ltd., acknowledges that all goods and services described in this Purchase Order are to be delivered and performed within the Auckland region, New Zealand, at the University of Auckland campus located at 10 Symonds Street, Auckland 1010.
- Professor Ngata reserves the right to inspect all delivered items upon arrival at the laboratory. Any items found to be defective, damaged in transit, or not conforming to the specifications outlined in this Purchase Order must be replaced or repaired at the supplier's sole expense within fourteen (14) calendar days.
- Payment of the full amount of NZD 172,489.50 (inclusive of New Zealand Goods and Services Tax at 15%) shall be made within thirty (30) days of receipt of a valid tax invoice from the supplier, provided that all items have been delivered, installed, and accepted by the Professor's research team.
- All equipment must comply with New Zealand safety standards (AS/NZS) and the University of Auckland's Occupational Health and Safety policies. The supplier warrants that all instruments meet or exceed the relevant New Zealand regulatory requirements for laboratory use.
- The installation and commissioning service (Item 6) must be completed by certified technicians registered in New Zealand, and all work must be performed during standard business hours at the Auckland campus unless otherwise agreed in writing by Professor Ngata.
- Intellectual property arising from the research conducted using the equipment purchased under this Purchase Order shall remain the sole property of the University of Auckland and Professor Ngata's research group. The supplier claims no rights over any research outputs, publications, or data generated.
- This Purchase Order is valid for acceptance within twenty-one (21) days of the date of issue. Failure to accept within this period shall render this Purchase Order null and void, and the University of Auckland reserves the right to re-tender the procurement.
- Any disputes arising from this Purchase Order shall be resolved in accordance with the New Zealand Disputes Tribunal Act 2022 or, where the amount exceeds the Tribunal's jurisdiction, in the District Court of Auckland, New Zealand.
- The supplier must maintain adequate insurance coverage, including public liability insurance of no less than NZD 20,000,000, for the duration of the contract and all delivery and installation activities within Auckland, New Zealand.
