Terms & Conditions of This Purchase Order

1. Delivery Schedule: The supplier shall deliver all items listed in this Purchase Order to the Professor Educational & Research Institute campus located in Pakistan Islamabad within thirty (30) calendar days from the date of this Purchase Order. Partial deliveries are permitted only with prior written approval from the Professor Procurement Office.
2. Payment Terms: Payment shall be made by bank transfer to the supplier's designated account within fifteen (15) days of successful delivery, inspection, and acceptance of goods at the Professor Institute in Pakistan Islamabad. A 2% early payment discount shall apply if settlement is made within seven (7) days of invoice issuance.
3. Quality Assurance: All goods supplied under this Purchase Order must meet the specifications outlined by the Professor Institute's Quality Control Division. Any defective or non-conforming items will be rejected at the Pakistan Islamabad receiving dock, and the supplier shall replace them within five (5) business days at no additional cost.
4. Warranty: The supplier guarantees a minimum warranty period of two (2) years on all electronic equipment and one (1) year on furniture and glassware. Warranty claims shall be processed through the Professor Institute's Maintenance Department in Pakistan Islamabad.
5. Installation & Training: The supplier is responsible for the complete installation of all equipment at the Professor Institute premises in Pakistan Islamabad and shall provide on-site training to Professor Institute faculty and technical staff for a minimum of two (2) full working days.
6. Penalties for Delay: In the event of delayed delivery beyond the stipulated thirty (30) day period, the supplier shall incur a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10%. Delays exceeding fifteen (15) days beyond the original deadline shall entitle Professor Institute to cancel this Purchase Order without liability.
7. Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Pakistan Islamabad.
8. Force Majeure: Neither party shall be held liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or civil unrest affecting Pakistan Islamabad or the broader region.
9. Confidentiality: All pricing, specifications, and commercial terms contained in this Purchase Order between Professor Educational & Research Institute and the supplier are strictly confidential and shall not be disclosed to third parties without mutual written consent.
10. Amendments: Any modification or amendment to this Purchase Order must be made in writing and signed by authorized representatives of both Professor Institute and the supplier. Verbal agreements shall hold no legal validity.
