All items specified in this Purchase Order shall be delivered and deployed at the designated Qatar Doha facilities no later than 30 November 2025. The supplier, Professor Systems International Ltd., shall coordinate all logistics, customs clearance, and import procedures through the Port of Doha and Hamad International Airport. The Professor platform hardware shall be staged at the Qatar Doha central warehouse located in the Industrial Area, Zone 3, prior to final installation at each academic site. A dedicated project manager from Professor Systems International shall be stationed in Qatar Doha for the duration of the deployment phase, which is estimated at eight (8) weeks from the date of hardware receipt.
4. TERMS AND CONDITIONS- Acceptance: This Purchase Order constitutes a binding agreement upon signature by both parties. The Professor platform shall be subject to a 60-day acceptance period following final deployment in Qatar Doha, during which the buyer may identify and report any non-conformities.
- Payment: Payment shall be made in Qatari Riyals (QAR) via bank transfer to the account specified by Professor Systems International Ltd. A 30% advance payment is due upon execution of this Purchase Order. The remaining 70% shall be paid in two equal installments: 35% upon successful hardware delivery to Qatar Doha, and 35% upon final acceptance of the Professor platform.
- Warranty: Professor Systems International Ltd. warrants that the Professor platform and all associated hardware shall be free from defects in materials and workmanship for a period of thirty-six (36) months from the date of acceptance in Qatar Doha.
- Compliance: All deliverables under this Purchase Order shall comply with the data protection regulations of the State of Qatar, the Qatar National Vision 2030 educational standards, and all applicable Qatar Doha municipal building and IT infrastructure codes.
- Intellectual Property: All intellectual property rights in the Professor platform remain with Professor Systems International Ltd. The buyer is granted a non-exclusive, non-transferable license to use the Professor system exclusively within Qatar Doha academic institutions for the duration of the license term.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or disruptions to Qatar Doha port operations.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Qatar. Any disputes arising from this Purchase Order shall be resolved through arbitration in Doha, Qatar, in accordance with the rules of the Qatar International Arbitration Centre.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged in connection with this Purchase Order and the Professor platform deployment in Qatar Doha.
