- This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia and the regulations of the Saudi Public Procurement Authority (NAPA). All disputes shall be resolved in the competent courts of Jeddah, Saudi Arabia.
- The Supplier shall deliver all goods to the designated laboratory at King Abdulaziz University, Jeddah, Saudi Arabia, at the Supplier's own cost and risk until acceptance is signed by the Professor Dr. Khalid Al-Omari or his authorized representative.
- Payment shall be made within 45 (forty-five) calendar days from the date of receipt of a valid tax invoice, subject to satisfactory inspection and acceptance of all items by the Professor and the University's Quality Assurance Committee.
- All equipment must carry a minimum warranty of 24 (twenty-four) months from the date of installation and commissioning in Jeddah, Saudi Arabia. The warranty shall cover parts, labor, and on-site service.
- The Supplier is required to provide comprehensive installation, calibration, and hands-on training for the Professor and his research team. Training sessions shall be conducted in English and Arabic, and a detailed user manual in both languages must accompany each piece of equipment.
- Any delay in delivery beyond the specified deadlines shall incur a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10% of the total value. Delays exceeding 30 days entitle the University to cancel this Purchase Order without penalty.
- The Supplier warrants that all goods are new, unused, of the latest production, and free from defects in material and workmanship. All items must comply with Saudi Standards, Metrology and Quality Organization (SASO) requirements.
- Intellectual property rights related to the research conducted by the Professor using the procured equipment shall remain solely with King Abdulaziz University, Jeddah, Saudi Arabia.
- This Purchase Order may not be assigned or subcontracted without prior written consent from the University's Procurement Office in Jeddah.
- All communications regarding this Purchase Order shall be directed to the Procurement Office, King Abdulaziz University, Jeddah, Saudi Arabia, and copied to the Professor Dr. Khalid Al-Omari as the technical recipient.
