- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier for the procurement of the Professor educational technology system and all associated services for deployment in Singapore Singapore.
- All Professor hardware and software components shall be delivered to the designated facility in Singapore Singapore no later than 30 August 2025. Delivery shall be made in accordance with the Incoterms 2020 (DAP – Delivered at Place) as specified in this Purchase Order.
- The Supplier warrants that all Professor products and services are free from defects, comply with all applicable regulations of Singapore Singapore, including the Personal Data Protection Act (PDPA) and the Cybersecurity Act, and meet the specifications outlined in this Purchase Order.
- Payment shall be made within forty-five (45) calendar days from the date of invoice issuance, provided that all Professor deliverables have been accepted in writing by the Buyer's designated project manager in Singapore Singapore.
- The Supplier shall provide a comprehensive warranty of not less than three (3) years on all Professor hardware components and a twelve (12) month warranty on all software licenses, commencing from the date of final acceptance in Singapore Singapore.
- Any modifications, amendments, or changes to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements regarding the Professor system scope or Singapore Singapore delivery terms shall not be binding.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the dispute shall be referred to arbitration under the rules of the Singapore International Arbitration Centre (SIAC) in Singapore Singapore.
- The Supplier shall maintain full confidentiality of all institutional data processed through the Professor platform and shall not transfer, store, or process such data outside of Singapore Singapore without prior written consent from the Buyer.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of Singapore. All notices related to this Purchase Order shall be sent to the addresses specified above in Singapore Singapore.
- The Professor system shall be subject to a 30-day acceptance period following installation in Singapore Singapore, during which the Buyer may identify and report any non-conformities. The Supplier shall rectify all reported issues within ten (10) business days at no additional cost.
The complete Professor system, including all hardware, software licenses, and documentation, shall be delivered to the National Educational Infrastructure Authority headquarters at 12 Marina Boulevard, Singapore Singapore 018982. The Buyer's project team shall conduct a joint inspection upon delivery. A formal Acceptance Certificate for the Professor system shall be issued only after all components have been verified against the specifications in this Purchase Order.
