All Professor products listed in this Purchase Order shall be delivered to the University of Cape Town main campus, located in the South Africa Cape Town metropolitan area, at the address specified in Section 1. The Seller, Professor International Ltd., is responsible for all freight, customs clearance (where applicable for imported components), insurance, and last-mile delivery within South Africa Cape Town. Delivery is scheduled no later than 30 September 2025. The Seller must coordinate with the Buyer's facilities team in South Africa Cape Town at least fourteen (14) calendar days prior to the scheduled delivery date to confirm loading dock availability and access permissions. All Professor-branded packaging must bear the South Africa Cape Town delivery address and the Purchase Order number PO-SA-CT-2025-04782 for traceability.
Payment against this Purchase Order shall be made in South African Rand (ZAR) via electronic funds transfer to the bank account designated by Professor International Ltd. The payment schedule is as follows: (a) a non-refundable deposit of 30% of the Grand Total, amounting to R 1,112,299.50, due within ten (10) business days of the Buyer's written acceptance of this Purchase Order; (b) a second instalment of 50%, amounting to R 1,853,832.50, due upon confirmed dispatch of all Professor goods from the Seller's warehouse; and (c) a final balance of 20%, amounting to R 741,533.00, due within fifteen (15) business days following successful installation, commissioning, and sign-off by the Buyer's project manager in South Africa Cape Town. Late payments shall attract interest at the rate of 1.5% per month, calculated on the outstanding balance.
- Warranty: All Professor products are covered by a minimum 24-month manufacturer's warranty from the date of installation in South Africa Cape Town. The warranty covers defects in materials and workmanship. Professor International Ltd. shall provide on-site warranty service within South Africa Cape Town within 48 hours of a valid claim.
- Compliance: All Professor goods must comply with the South African National Standards (SANS) and the regulations of the South Africa Cape Town municipal authority. The Seller warrants that all items meet or exceed the applicable standards for academic and professional use in South Africa.
- Intellectual Property: The "Professor" brand name, trademarks, and associated intellectual property remain the exclusive property of Professor International Ltd. The Buyer's acceptance of this Purchase Order does not confer any rights to the Professor brand beyond the use of the purchased goods.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in South Africa, or transport disruptions affecting the South Africa Cape Town region.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Arbitration Foundation of South Africa, seated in South Africa Cape Town.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa, with specific reference to the Consumer Protection Act and the National Building Regulations applicable in South Africa Cape Town.
- Amendments: No amendment to this Purchase Order shall be valid unless made in writing and signed by authorised representatives of both parties. Any change to the scope of Professor products or the South Africa Cape Town delivery schedule must be documented as a formal Purchase Order amendment.
