- Scope of Engagement: The Professor agrees to render all services described in Section 3 of this Purchase Order exclusively at the designated facilities of the Universidad Complutense de Madrid in Spain Madrid, unless otherwise agreed in writing by both parties. The Professor shall comply with all institutional regulations, academic calendars, and quality standards established by the university and the Spanish Ministry of Education, Universities and Research.
- Commencement and Duration: Services shall commence on 1 September 2025 and conclude on 30 June 2026, corresponding to the full academic year 2025/2026. Any extension of the Professor's engagement beyond this period shall require a supplementary Purchase Order issued by the Buyer.
- Payment Terms: Payment shall be made in three equal instalments of EUR 13,777.87 (inclusive of VAT), due on 30 September 2025, 31 January 2026, and 30 June 2026, respectively. Payment shall be executed via bank transfer to the IBAN specified in Section 2. Late payments shall accrue interest at the rate established by Spanish law (Ley 3/2004 de lucha contra la morosidad en las operaciones comerciales).
- Intellectual Property: All course materials, lecture notes, syllabi, and research outputs produced by the Professor specifically for this Purchase Order shall become the property of the institution in Spain Madrid, subject to the Professor's right of attribution and academic citation.
- Confidentiality: The Professor shall maintain strict confidentiality regarding student data, examination content, and internal institutional matters in accordance with the General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018 on Personal Data Protection.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of early termination, the Professor shall be compensated for all services rendered up to the date of termination, plus a reasonable transition period.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from this agreement shall be submitted to the competent courts of Madrid, Spain.
- Compliance: The Professor warrants that he holds all necessary professional qualifications, valid work authorisation in Spain, and professional indemnity insurance to perform the services outlined in this Purchase Order within the jurisdiction of Spain Madrid.
This Purchase Order is hereby issued and authorised by the undersigned on behalf of the Universidad Complutense de Madrid, Spain Madrid, and is accepted by the Professor named herein. By signing below, both parties confirm their agreement to all terms, conditions, and service specifications contained in this document.
