All items specified in this Purchase Order shall be delivered to the Department of Applied Physics, Makerere University, Kampala, Uganda, no later than 30 September 2025. The Professor, or her designated laboratory manager, shall conduct a joint inspection and acceptance test within five (5) working days of delivery. Acceptance is contingent upon all instruments meeting the technical specifications outlined in the attached annexure (Annexure A) and all consumables being in unopened, undamaged condition. Any item found defective, incomplete, or non-conforming shall be returned to the supplier at the supplier's expense within fourteen (14) days of the acceptance inspection.
4. Terms and Conditions- This Purchase Order is governed by the laws of the Republic of Uganda and the Public Procurement and Disposal of Public Assets Act, 2003 (as amended by the Public Procurement and Disposal of Public Assets (Amendment) Act, 2017).
- The supplier warrants that all equipment is new, unused, and carries a minimum manufacturer's warranty of two (2) years from the date of acceptance in Kampala, Uganda.
- Payment shall be made via bank transfer to the supplier's designated account in Uganda, within thirty (30) days of the Professor's written acceptance certificate.
- The supplier shall provide full technical documentation, user manuals in English, and a minimum of three (3) days of on-site operator training at the Makerere University laboratory in Kampala.
- Any dispute arising from this Purchase Order shall be resolved through arbitration in Kampala, Uganda, in accordance with the rules of the Uganda Arbitration Centre.
- The Professor reserves the right to modify, cancel, or reject any line item in this Purchase Order prior to the supplier's confirmation of order, provided written notice is given at least ten (10) working days in advance.
- All intellectual property related to custom-machined components (Item 08) shall remain the sole property of Makerere University, Kampala, Uganda.
- The supplier shall comply with all environmental, health, and safety regulations applicable in Uganda, including proper disposal and handling of hazardous materials.
This Purchase Order is issued under the authority of the Professor of Applied Physics and Engineering and is countersigned by the University's Director of Finance and Administration. No obligation arises until both signatures and the official Makerere University stamp are affixed.
