Please confirm acceptance of this Purchase Order within five (5) working days of receipt.- This Purchase Order constitutes a binding agreement between Imperial Academic Procurement Office and the named supplier upon written acceptance. - Delivery of all goods and services shall be made to the address specified in London, United Kingdom, as stated in the Bill To / Ship To section. The supplier bears full responsibility for safe transit and installation within the London metropolitan area.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice, provided that all goods and services conform to the specifications outlined in this Purchase Order. Payment will be processed via BACS transfer to the supplier's designated bank account in the United Kingdom.
- The Professor's office reserves the right to inspect all delivered items upon arrival. Any goods found to be defective, incomplete, or non-conforming to the agreed specifications must be replaced or refunded within fourteen (14) days at the supplier's sole cost.
- All intellectual property rights associated with the academic monograph (Item 02) remain the sole property of Professor Eleanor M. Whitfield. The supplier shall not reproduce, distribute, or otherwise exploit the content without written consent from the Professor.
- The supplier acknowledges that this Purchase Order is issued for the benefit of a senior academic appointment (Professor) at a recognised research institution in London, United Kingdom, and agrees to treat all associated information with the highest degree of confidentiality.
- Force majeure events, including but not limited to severe weather affecting the London, United Kingdom region, shall be communicated in writing within 48 hours of occurrence. Neither party shall be liable for delays directly caused by such events.
- Any disputes arising from this Purchase Order shall be resolved through negotiation in good faith. Should negotiation fail, the matter shall be referred to the courts of competent jurisdiction in London, United Kingdom.
