4.1 This Purchase Order is issued by the Office of Professor Eleanor M. Whitfield, CBE, FRS, at the University of Manchester, Manchester, United Kingdom, and constitutes a binding agreement upon acceptance by the supplier.
4.2 All goods and services described in this Purchase Order shall be delivered to the Professor's designated laboratory at the University of Manchester, Oxford Road, Manchester, M13 9PL, United Kingdom, no later than the required delivery date stated above. Late delivery shall incur a penalty of 1.5% of the total Purchase Order value per calendar week of delay.
4.3 The Professor reserves the right to inspect all equipment upon arrival at the Manchester, United Kingdom facility. Any items found to be defective, damaged in transit, or not conforming to the specifications outlined in this Purchase Order shall be returned at the supplier's expense within fourteen (14) calendar days.
4.4 Payment shall be made by BACS transfer to the supplier's nominated bank account within thirty (30) days of receipt of a valid tax invoice, in accordance with the University of Manchester's procurement policies and the Public Contracts Regulations 2015 applicable in the United Kingdom.
4.5 The supplier warrants that all equipment supplied under this Purchase Order shall be new, unused, and in full compliance with all applicable United Kingdom health and safety regulations, including the Supply of Machinery (Safety) Regulations 2008 and the Electrical Equipment (Safety) Regulations 2016.
4.6 This Purchase Order is governed by the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.
4.7 The supplier shall maintain full professional indemnity and public liability insurance with a minimum cover of £10,000,000 for the duration of the contract and for two years thereafter.
This Purchase Order has been reviewed and authorised by the undersigned Professor on behalf of the University of Manchester, United Kingdom. The supplier is requested to confirm acceptance of this Purchase Order by signing and returning a copy within five (5) working days of receipt.
