  1. Scope: This Purchase Order is issued exclusively for the procurement of academic and research equipment on behalf of Professor Daniel A. Whitfield, Department of Applied Physics, University of Southern California, located in United States Los Angeles. All goods and services shall be delivered to the Professor's designated laboratory at 3620 S. Vermont Ave, Los Angeles, CA 90089.
  2. Delivery: The Seller shall deliver all items no later than August 15, 2025. Delivery shall be made to the Professor's laboratory during standard business hours (8:00 AM – 5:00 PM, Monday through Friday). The Seller is responsible for all transportation, insurance, and risk of loss until the items are received and signed for by the Professor or his authorized designee in Los Angeles.
  3. Payment Terms: Payment shall be made net 45 days from the date of invoice, provided all items have been received, inspected, and accepted by Professor Whitfield and the Office of Academic Procurement. Payment will be issued via electronic funds transfer (EFT) to the account designated by the Seller. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with California commercial code provisions applicable in United States Los Angeles.
  4. Acceptance and Inspection: Upon delivery, Professor Whitfield or his laboratory manager shall have a period of ten (10) business days to inspect all items. Any defects, discrepancies, or non-conformities must be reported in writing to the Seller within this period. The Seller shall replace or repair defective items at no additional cost within fifteen (15) business days of notification.
  5. Warranty: All equipment shall carry a minimum manufacturer's warranty of two (2) years from the date of installation. The Seller shall provide full technical support and spare parts availability for a period of five (5) years. Warranty service shall be performed at the Professor's laboratory in Los Angeles or at the Seller's facility, at the Seller's expense.
  6. Compliance: All items procured under this Purchase Order must comply with applicable federal, state, and local regulations in the United States, including but not limited to California environmental standards, OSHA laboratory safety requirements, and NSF grant compliance guidelines. The Seller warrants that all goods are free of liens and encumbrances.
  7. Intellectual Property: Any custom configurations, software modifications, or proprietary adjustments made specifically for Professor Whitfield's research shall remain the property of the University of Southern California. The Seller shall not disclose, publish, or use any research data or methodologies observed during installation or training.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association.
  9. Cancellation: The Buyer reserves the right to cancel this Purchase Order in whole or in part with thirty (30) days written notice. In the event of cancellation, the Seller shall be compensated for materials already procured and non-cancellable services rendered, up to a maximum of 50% of the total Purchase Order value.
  10. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or supply chain disruptions affecting delivery in the United States Los Angeles metropolitan area.
