Terms and Conditions
1. Payment Terms: Net 30 days from date of invoice. Payment shall be made via electronic funds transfer (EFT) to the account designated by Academic Supplies & Research Equipment Co. A 1.5% monthly late fee shall apply to overdue balances. This Purchase Order is issued under the authority of the University of San Francisco Office of Procurement and is subject to federal and California state purchasing regulations.
2. Delivery: All items listed in this Purchase Order shall be delivered to the University of San Francisco, Building C, Room 314, 2130 Fulton Street, San Francisco, California 94117, United States. Delivery must be completed no later than July 5, 2025. The vendor is responsible for all freight, insurance, and installation costs within the San Francisco metropolitan area. Large equipment items (Items 2, 7, and 8) require a minimum of 48 hours advance notice for delivery scheduling.
3. Acceptance and Inspection: Professor Whitfield or her designated laboratory manager shall inspect all delivered goods within five (5) business days of receipt. Any items found to be damaged, defective, or not conforming to the specifications outlined in this Purchase Order must be reported in writing to the vendor within the inspection period. The vendor shall replace or repair non-conforming items at no additional cost to the University of San Francisco.
4. Warranty: All equipment is covered by a minimum two-year manufacturer's warranty from the date of installation. Consumable items (Items 1, 5, and 6) are covered by a 90-day quality guarantee. The vendor shall provide all warranty documentation in English at the time of delivery.
5. Cancellation: This Purchase Order may be cancelled in whole or in part by the University of San Francisco prior to shipment without penalty. Cancellation after shipment shall be subject to a 15% restocking fee on returned items. All cancellations must be communicated in writing to the vendor's procurement office in San Francisco.
6. Compliance: All products must comply with applicable United States federal regulations, California state safety standards, and San Francisco municipal codes. The vendor certifies that all biological safety equipment meets CDC and OSHA guidelines. The vendor shall provide Material Safety Data Sheets (MSDS) for all chemical reagents included in this order.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes arising from this Purchase Order shall be resolved in the courts of San Francisco County, California.
