1. - Payment Terms: Payment shall be made in two installments. The first installment of 50% ($65,209.03) shall be due within fifteen (15) business days of the issuance of this Purchase Order. The second installment of 50% ($65,209.02) shall be due within ten (10) business days following confirmed delivery, installation, and written acceptance by Professor Dr. Mendoza at the Universidad Central de Venezuela, Caracas. Payment shall be processed via bank transfer to the supplier's account registered in Venezuela.
- Delivery: All items shall be delivered to the Department of Applied Physics, Torre de Ciencias, Universidad Central de Venezuela, Av. Francisco Fajardo, Los Chaguas, Caracas, Venezuela. The supplier is responsible for all transportation, insurance, and customs clearance within the territory of Venezuela. Delivery to the Professor's designated laboratory space must be completed by the deadlines specified in Section 2.
- Quality and Acceptance: Upon delivery, Professor Dr. Mendoza or his designated laboratory technician shall inspect all items within five (5) business days. Any item found to be defective, damaged, or non-conforming to the specifications stated in this Purchase Order shall be replaced at the supplier's sole expense within fifteen (15) business days. The Professor reserves the right to reject any item that does not meet the stated academic and research requirements.
- Warranty: All equipment shall carry a minimum warranty of twenty-four (24) months from the date of acceptance. The supplier shall provide on-site technical support in Caracas within forty-eight (48) hours of any warranty claim filed by the Professor or the university's maintenance office.
- Intellectual Property and Academic Use: All purchased materials, including academic texts and software licenses, are acquired exclusively for the educational and research purposes of the Universidad Central de Venezuela in Caracas. The Professor shall ensure that all materials are used in compliance with Venezuelan intellectual property law (Ley de Propiedad Intelectual, Gaceta Oficial No. 38.088).
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or disruptions to public infrastructure in Caracas, Venezuela. Affected parties must notify the other in writing within seventy-two (72) hours of the occurrence.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Bolivarian Republic of Venezuela. Any disputes arising from this Purchase Order shall be resolved through the competent commercial courts of the Circumscripción Judicial del Área Metropolitana de Caracas.
- Confidentiality: The supplier acknowledges that the research conducted by Professor Dr. Mendoza involves unpublished scientific data. The supplier shall not disclose any information regarding the nature, scope, or results of the Professor's research program to any third party without prior written consent from the Universidad Central de Venezuela.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by both the Professor (as requesting authority) and the authorized representative of the supplier. Verbal agreements shall hold no legal force under this Purchase Order.
