- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe, including the Zimbabwe Government Procurement Act (Chapter 22:24) and the University of Zimbabwe Financial Regulations.
- Delivery: All physical goods must be delivered to the University of Zimbabwe campus at 17 Muzorewa Avenue, Harare, Zimbabwe, at the address specified in Section 1. The Professor's designated office (Room 214, Faculty of Natural and Applied Sciences) shall serve as the primary receiving point within Harare.
- Payment Terms: Payment shall be made within thirty (30) days of receipt of a valid tax invoice and confirmed delivery/acceptance of goods or services by Professor Chikafu and the University's Procurement Office in Harare. Payment shall be processed in United States Dollars (USD) via electronic funds transfer to the bank account specified above.
- Warranty: All hardware items shall carry a minimum of a twelve (12) month manufacturer's warranty, with service and repair support available within Harare, Zimbabwe, or the broader Zimbabwe region.
- Compliance: The Professor and all suppliers must comply with the Zimbabwe National Standards Authority (ZANAS) regulations and the Zimbabwe Revenue Authority (ZIMRA) import and tax requirements applicable to goods entering Harare.
- Intellectual Property: All research outputs, publications, and intellectual property generated by the Professor using the procured equipment and services shall remain the property of the University of Zimbabwe, Harare, in accordance with institutional policy.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Harare, Zimbabwe, in accordance with the Zimbabwe Mediation Act. If mediation fails, disputes shall be referred to the High Court of Zimbabwe, Harare.
- Amendments: No amendments to this Purchase Order shall be valid unless made in writing and signed by both the authorised University representative and Professor Chikafu.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government policy changes in Zimbabwe, or international trade restrictions affecting Harare.
