- This Purchase Order is governed by the laws of the People's Republic of Bangladesh and shall be interpreted in accordance with the Bangladesh Contract Act, 1872, and the Bangladesh Labour Act, 2006, as applicable to professional service engagements in Bangladesh Dhaka.
- The Project Manager engaged under this Purchase Order shall report directly to the Chief Executive Officer of Meridian Infrastructure & Development Ltd. and shall maintain a physical presence at the Bangladesh Dhaka project site no fewer than five (5) working days per week.
- Payment shall be processed via bank transfer to the vendor's designated account in Bangladesh Dhaka within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 1.5% per month as per Bangladesh National Bank guidelines.
- The Project Manager must hold a valid Project Management Professional (PMP) certification or equivalent (PRINCE2 Practitioner) and a minimum of eight (8) years of experience managing infrastructure projects of comparable scale in Bangladesh Dhaka or similar metropolitan environments.
- Apex Professional Consulting Group warrants that the Project Manager shall not be engaged in any conflicting project within the Bangladesh Dhaka metropolitan area during the term of this Purchase Order.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Project Manager's final settlement shall be calculated pro-rata for services rendered up to the termination date.
- All intellectual property, project documentation, risk registers, and progress reports generated by the Project Manager in the course of this engagement shall remain the exclusive property of Meridian Infrastructure & Development Ltd.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Bangladesh Arbitration Act, 2001, before a sole arbitrator appointed by mutual consent.
- This Purchase Order becomes effective upon signature by both parties and remains valid for the duration specified in the line items above, unless extended by mutual written agreement.
The Project Manager shall report for duty at the Meridian Infrastructure & Development Ltd. headquarters located at House 42, Road 11, Banani, Bangladesh Dhaka, no later than 09:00 AM on 01 July 2025. All onboarding, site induction, and initial project briefings shall be conducted within the first five (5) working days of commencement. The vendor is responsible for ensuring the Project Manager's travel, accommodation (if applicable), and local transportation arrangements within Bangladesh Dhaka are in place prior to the commencement date.
