This Purchase Order is issued by the Brussels Metropolitan Development Agency (hereinafter referred to as the "Buyer") to Bruxelles Project Management Solutions SRL (hereinafter referred to as the "Seller") for the engagement of a qualified Project Manager to oversee and coordinate the "Brussels Smart Infrastructure Modernisation Programme" (BSIMP). The Project Manager shall be physically based in the Buyer's offices located in the European Quarter of Brussels, Belgium, and shall report directly to the Director of Strategic Programmes. The scope of the Project Manager's responsibilities includes, but is not limited to: project planning and scheduling, stakeholder coordination with the City of Brussels, the Brussels-Capital Region government, and relevant European Union funding bodies; budget monitoring and financial reporting in accordance with Belgian public procurement regulations; risk management; quality assurance; and delivery of all project milestones within the agreed timeline.

Payment for the services rendered under this Purchase Order shall be made in monthly instalments, invoiced in arrears on the last working day of each calendar month. The Buyer shall settle all undisputed invoices within thirty (30) calendar days of receipt, in accordance with the Belgian Law on Late Payment in Commercial Transactions (Royal Decree of 12 January 2007, as amended). All payments shall be made via bank transfer to the Seller's designated account at a Belgian financial institution. The currency of all transactions under this Purchase Order shall be the Euro (EUR). Late payments shall accrue statutory interest at the rate prescribed by Belgian law, and the Buyer shall be liable for a minimum recovery cost of forty euros (€40.00) per invoice in the event of late payment, as stipulated under Belgian legislation.
- Governing Law: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the Kingdom of Belgium. Any disputes arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Commercial Court of Brussels (Tribunal de commerce de Bruxelles / Rechtbank van koophandel van Brussel).
- Project Manager Qualifications: The Project Manager engaged under this Purchase Order shall hold a minimum of a Master's degree in Project Management, Engineering, or a related discipline, and shall possess at least eight (8) years of demonstrable experience in managing large-scale infrastructure or public-sector projects. The Project Manager shall be fluent in both French and Dutch, the two official languages of the Brussels-Capital Region, and shall have working proficiency in English.
- Compliance with Belgian Labour and Social Security Law: The Seller shall ensure that the Project Manager is properly registered with the relevant Belgian social security office (Office National de Sécurité Sociale / Nationaal Instituut voor de Sociale Verzekering) and that all applicable Belgian employment, tax, and social contribution obligations are met. The Project Manager shall be subject to the Belgian collective labour agreements (CAO/CCN) applicable to the professional services sector in Brussels.
- Confidentiality and Data Protection: The Project Manager shall comply with the General Data Protection Regulation (GDPR) and the Belgian Data Protection Act (Law of 30 July 2018) in the handling of all personal data encountered during the performance of duties in Brussels. A separate Data Processing Agreement shall be executed prior to the commencement of services.
- Performance Standards: The Project Manager shall adhere to the project governance framework established by the Buyer and shall submit monthly progress reports, risk registers, and financial status updates to the Buyer's Programme Office in Brussels. Failure to meet agreed key performance indicators (KPIs) for two consecutive months shall entitle the Buyer to terminate this Purchase Order with thirty (30) days' written notice.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, acts of war, pandemics, or government-mandated closures affecting the Brussels metropolitan area, provided that the affected party notifies the other within five (5) business days.
- Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice to the other party. Upon termination, the Seller shall ensure an orderly transition of all Project Manager duties, documentation, and project artefacts to the Buyer or its designated successor within fifteen (15) business days.
- Anti-Corruption and Ethics: Both parties warrant compliance with all applicable Belgian and European Union anti-corruption, anti-money laundering, and sanctions legislation. The Project Manager shall sign a code of conduct and conflict-of-interest declaration specific to public-sector engagements in Brussels.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Project Manager in Brussels, Belgium. This document constitutes a binding commercial agreement between the Buyer and the Seller effective from the date of the last signature below.
