3.1 The Project Manager engaged under this Purchase Order shall be responsible for the full lifecycle management of the Meridian Digital Transformation Initiative, with a primary operational base in São Paulo, Brazil. The Project Manager shall ensure that all project activities comply with the applicable federal, state, and municipal regulations governing professional services in the São Paulo metropolitan region.

3.2 The Project Manager shall produce a comprehensive Project Management Plan within fifteen (15) business days of the commencement date. This plan shall include a detailed schedule, resource loading, communication matrix, and a risk management framework tailored to the operational realities of Brazil São Paulo, including considerations for local holidays, labor market conditions, and infrastructure constraints.

3.3 All deliverables under this Purchase Order shall be submitted in Portuguese and English. The Project Manager shall conduct all stakeholder meetings in São Paulo in Portuguese, with written minutes provided in both languages within forty-eight (48) hours of each session.

3.4 The Project Manager shall maintain a minimum of 90% availability during standard business hours (08:00 to 18:00 BRT, Monday through Friday) at the Meridian office located at Av. Paulista, 1578, São Paulo, SP.

4.1 Governing Law. This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with specific reference to the Civil Code (Código Civil — Lei 10.406/2002) and the Consumer Protection provisions where applicable. 4.6 Compliance. 4.7 Force Majeure.
