All deliverables, including project charters, risk registers, status reports, and final close-out documentation, must be submitted in accordance with the Project Management Institute (PMI) standards and the Project Management Body of Knowledge (PMBOK) framework. The Project Manager is expected to maintain a minimum of 80% on-site presence in Toronto during core business hours (Monday through Friday, 8:00 AM to 5:00 PM Eastern Time) unless otherwise agreed in writing by the Northgate procurement officer.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through arbitration in Toronto, Ontario, in accordance with the Arbitration Act (Ontario).
2. Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment is due within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed under the Ontario Interest Act.
3. Confidentiality: The Project Manager and all associated personnel shall adhere to the confidentiality obligations set forth in the Northgate Non-Disclosure Agreement (NDA-2024-0112). All project data, client information, and proprietary methodologies remain the exclusive property of Northgate Infrastructure Solutions Inc.
4. Compliance: The Project Manager must comply with all applicable Canadian federal and Ontario provincial regulations, including but not limited to the Canada Labour Code, the Ontario Occupational Health and Safety Act (OHSA), and the Personal Information Protection and Electronic Documents Act (PIPEDA).
5. Insurance: The vendor shall maintain Commercial General Liability insurance with a minimum coverage of CAD $5,000,000 per occurrence, Professional Liability (Errors & Omissions) insurance of CAD $2,000,000, and Workers' Compensation coverage as required by the Ontario Workplace Safety and Insurance Board (WSIB).
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, Northgate shall pay for all services rendered up to the effective date of termination. In the event of termination for cause, the vendor shall be liable for any direct losses incurred by Northgate.
7. Intellectual Property: All work product, reports, plans, and documentation created by the Project Manager in the course of performing services under this Purchase Order shall be deemed work-for-hire and shall vest exclusively in Northgate Infrastructure Solutions Inc.
8. Anti-Corruption: The vendor certifies that no part of the compensation under this Purchase Order has been or will be offered, paid, or promised to any public official in Canada or the Province of Ontario in violation of the Corruption of Foreign Public Officials Act (CFPOA) or the Criminal Code of Canada.
9. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated closures in the Greater Toronto Area, or acts of war.
10. Accessibility: All Project Manager deliverables and presentations must comply with the Accessibility for Ontarians with Disabilities Act (AODA) and the Canadian Standards Association (CSA) accessibility guidelines.
