This Purchase Order is issued by Guangzhou Pacific Infrastructure Development Co., Ltd. (hereinafter referred to as the "Buyer") to Apex Global Project Management Solutions Ltd. (hereinafter referred to as the "Seller") for the engagement of a senior Project Manager and associated project management support services. The Project Manager shall be assigned to oversee the Phase II construction and commissioning of the Guangzhou Metro Line 18 Extension, a critical infrastructure project located in the China Guangzhou metropolitan area. This Purchase Order governs all commercial terms, deliverables, payment schedules, and obligations related to the Project Manager's engagement in China Guangzhou.

Payment for this Purchase Order shall be made in Renminbi (CNY) via bank transfer to the Seller's designated account. The payment schedule is structured as follows: (a) 30% advance payment (CNY 228,994.50) within ten (10) business days of the Buyer's written acceptance of this Purchase Order; (b) 50% milestone payment (CNY 381,657.50) upon the Project Manager's completion of the six-month interim review and submission of the mid-project report; and (c) 20% final payment (CNY 152,663.00) upon successful project handover and final acceptance by the Buyer's China Guangzhou project governance board. All invoices must reference Purchase Order No. GZP-PO-2025-00472.

The Project Manager shall commence duties no later than 1 July 2025 at the designated project site in China Guangzhou. The engagement period under this Purchase Order is twelve (12) months, subject to extension by mutual written agreement. The Project Manager is required to maintain a minimum on-site presence of five (5) days per week at the China Guangzhou project location, with remote availability for emergency coordination as directed by the Buyer.

5.1. This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou, China Guangzhou.

5.2. The Project Manager shall comply with all applicable Chinese labor regulations, safety standards, and local ordinances in China Guangzhou. The Seller is responsible for the Project Manager's employment contract, social insurance contributions, and work permit compliance.

5.3. The Seller warrants that the Project Manager possesses a minimum of fifteen (15) years of experience in large-scale infrastructure project management, holds a PMP or equivalent certification, and is proficient in both Mandarin Chinese and English to facilitate effective communication within the China Guangzhou project ecosystem.

5.4. The Buyer reserves the right to request the replacement of the Project Manager with reasonable notice (thirty days) if performance does not meet the agreed service-level standards outlined in the attached Statement of Work.

5.5. All intellectual property, project documentation, and reports generated by the Project Manager in the course of this engagement in China Guangzhou shall remain the exclusive property of the Buyer.

5.6. This Purchase Order shall not be construed as creating a partnership, joint venture, or agency relationship between the Buyer and the Seller.

By signing below, both parties acknowledge and agree to all terms set forth in this Purchase Order for the engagement of the Project Manager in China Guangzhou. This document constitutes a binding commercial agreement upon execution by authorized representatives of both parties.

This Purchase Order (No. GZP-PO-2025-00472) is issued for the procurement of Project Manager services in China Guangzhou. All communications regarding this Purchase Order should reference the document number above. This document is valid for a period of thirty (30) days from the date of issue.
