This Purchase Order is issued by Shanghai Horizon Enterprise Group Co., Ltd. (hereinafter referred to as the "Buyer") to Global Talent Solutions (Shanghai) Co., Ltd. (hereinafter referred to as the "Supplier") for the recruitment, placement, and ongoing provision of a senior Project Manager to oversee and execute the Buyer's flagship infrastructure modernization programme based in China Shanghai. The Project Manager engaged under this Purchase Order shall be responsible for the end-to-end delivery of all project phases, including but not limited to stakeholder coordination, budget governance, risk management, quality assurance, and cross-functional team leadership within the China Shanghai metropolitan operational zone.

3.1 Scope of Engagement. The Supplier shall procure and place a qualified Project Manager who shall report directly to the Buyer's Chief Operating Officer at the China Shanghai headquarters. The Project Manager shall commence duties no later than 1 August 2025 and shall remain engaged for a minimum period of twelve (12) calendar months, subject to the terms set forth in this Purchase Order and the individual employment contract executed in accordance with the Labour Law of the People's Republic of China.
3.2 Payment Terms. Payment under this Purchase Order shall be made in three instalments: (a) 40% (¥ 828,072) upon execution of this Purchase Order and confirmation of the Project Manager's identity and credentials; (b) 40% (¥ 828,072) upon the Project Manager's successful onboarding and commencement of duties in China Shanghai; and (c) 20% (¥ 414,036) upon completion of the first six-month performance review. All payments shall be made via bank transfer to the Supplier's designated account in RMB (CNY) through a licensed bank operating in China Shanghai.
3.3 Compliance and Regulatory Requirements. The Supplier warrants that the Project Manager shall hold a valid work permit (Class B or equivalent) issued by the Shanghai Municipal Human Resources and Social Security Bureau. All immigration, tax registration, and social insurance enrolment procedures specific to China Shanghai shall be completed prior to the commencement date. The Supplier assumes full liability for any regulatory non-compliance arising from the placement.
3.4 Intellectual Property and Confidentiality. The Project Manager shall be bound by a non-disclosure agreement covering all proprietary information, project documentation, and strategic plans of the Buyer. All work product generated during the engagement in China Shanghai shall be the exclusive property of Shanghai Horizon Enterprise Group Co., Ltd.
3.5 Termination. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination by the Buyer without cause, the Supplier shall be entitled to a pro-rata payment for services rendered up to the termination date. In the event of termination due to the Project Manager's material breach, no further payment shall be due.
3.6 Governing Law and Dispute Resolution. This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration administered by the Shanghai International Economic and Trade Arbitration Commission (SHIAC) in China Shanghai. The language of arbitration shall be English.
