This Purchase Order is issued by Congo Infrastructure & Development Partners S.A. (hereinafter referred to as the "Buyer") to formally procure the professional services of a qualified Project Manager to oversee, coordinate, and deliver the "Kinshasa Urban Water Supply Modernization Initiative" (Project Reference: CIDP-KIN-PM-2025). The engagement of this Project Manager is critical to ensuring that all phases of the initiative are executed in full compliance with the regulatory frameworks of the DR Congo Kinshasa municipal authorities, the national Ministry of Public Works, and applicable international development standards.
The Project Manager shall be physically based in DR Congo Kinshasa and is expected to report to the Buyer's General Directorate located at the Kintambo Business Center. The role encompasses end-to-end project governance, stakeholder engagement with local government bodies in Kinshasa, budget oversight, risk management, quality assurance, and final delivery reporting. The vendor, Kinshasa Professional Consulting Group SARL, is responsible for identifying, vetting, and deploying a Project Manager who meets the minimum qualifications outlined in Section 3 of this Purchase Order.

The Project Manager deployed under this Purchase Order must satisfy the following criteria:
- A minimum of eight (8) years of progressive experience in project management, with at least three (3) years in infrastructure or public-utility projects in Sub-Saharan Africa.
- A recognized professional certification (PMP, PRINCE2, or equivalent) and a valid engineering or management degree from an accredited institution.
- Demonstrated fluency in French (working language of DR Congo Kinshasa) and professional proficiency in English.
- Prior experience navigating the administrative, legal, and regulatory environment of the Democratic Republic of the Congo, specifically within the Kinshasa provincial jurisdiction.
- Availability to commence duties no later than 01 July 2025 and to maintain a minimum of five (5) days per week on-site in Kinshasa.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Democratic Republic of the Congo, with particular reference to the commercial and labor codes applicable in DR Congo Kinshasa. Any disputes arising from this Purchase Order shall be resolved through arbitration under the rules of the Centre d'Arbitrage de Kinshasa.
- Payment Schedule: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the vendor. Invoices must be submitted in US Dollars and must reference this Purchase Order number (PO-CD-KIN-2025-0472). Payment shall be made via bank transfer to the vendor's designated account at a commercial bank operating in Kinshasa.
- Performance Obligations: The Project Manager shall submit a detailed project plan within fifteen (15) business days of commencement. Monthly progress reports shall be delivered by the fifth (5th) business day of each subsequent month. Failure to meet deliverable milestones for two consecutive months shall constitute a material breach of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination for convenience, the Buyer shall compensate the vendor for all services rendered up to the effective date of termination. In the event of termination for cause, no further payment shall be due beyond the date of the breach.
- Confidentiality: All project data, financial records, and strategic information shared in connection with this Purchase Order shall be treated as strictly confidential. The Project Manager shall sign a non-disclosure agreement compliant with DR Congo Kinshasa data protection regulations prior to commencing work.
- Compliance: The vendor and the Project Manager shall comply with all applicable laws, regulations, and municipal ordinances of DR Congo Kinshasa, including but not limited to tax obligations, professional licensing, and anti-corruption statutes. The Buyer reserves the right to audit compliance at any reasonable time.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to civil unrest, natural disasters, government-imposed restrictions, or pandemics affecting operations in DR Congo Kinshasa.
- Intellectual Property: All reports, plans, methodologies, and documentation produced by the Project Manager in the course of this engagement shall be the exclusive property of the Buyer upon full payment.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, and obligations set forth in this Purchase Order. This document constitutes a binding procurement instrument for the engagement of the Project Manager services described herein, effective as of the date of the last signature.
