- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia. Any disputes arising from this Purchase Order regarding the engagement of the Project Manager shall be resolved through arbitration in Addis Ababa, Ethiopia, in accordance with the Ethiopian Arbitration and Conciliation Proclamation No. 1221/2020.
- Commencement Date: The Project Manager shall commence duties no later than 1 August 2025 in Ethiopia Addis Ababa. The vendor shall ensure the Project Manager is available and fully equipped to begin work on the stated date.
- Payment Terms: Payment shall be made in Ethiopian Birr (ETB) via bank transfer to the vendor's designated account at Commercial Bank of Ethiopia, Addis Ababa branch. Invoices shall be submitted monthly by the 5th business day. Payment shall be processed within 30 calendar days of receipt of a valid invoice.
- Performance Bond: The vendor shall provide a performance bond equivalent to 10% of the total Purchase Order value, issued by a licensed Ethiopian financial institution, prior to the commencement of the Project Manager's duties.
- Qualifications: The Project Manager assigned under this Purchase Order must hold a minimum of a Master's degree in Project Management, Civil Engineering, or a related discipline, possess PMP or PRINCE2 certification, and have a minimum of ten (10) years of experience managing infrastructure projects in Ethiopia Addis Ababa or comparable African urban environments.
- Working Hours and Location: The Project Manager shall work a standard 45-hour week (Monday through Friday, 8:00 AM to 5:00 PM) at the project office located in Bole Sub-City, Addis Ababa, Ethiopia. Additional site visits to project locations across Addis Ababa shall be required as necessary.
- Termination: Either party may terminate this Purchase Order with a written notice of sixty (60) days. In the event of termination, the Project Manager shall complete all ongoing deliverables and submit a comprehensive handover report before departing the Ethiopia Addis Ababa project site.
- Confidentiality: The Project Manager shall maintain strict confidentiality regarding all project data, financial information, and strategic plans of the purchasing entity. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Compliance: The vendor and the Project Manager shall comply with all applicable Ethiopian labor laws, tax regulations, and professional conduct standards while performing duties in Ethiopia Addis Ababa. The vendor is responsible for all statutory deductions including pension contributions and income tax as mandated by the Ethiopian Revenue and Customs Authority.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government policy changes in Ethiopia, or civil unrest affecting the Addis Ababa region.
This Purchase Order is issued and authorized by the undersigned representative of the purchasing entity. The vendor's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and obligations outlined herein regarding the provision of the Project Manager services in Ethiopia Addis Ababa.
