Description of Services – Project Manager EngagementThis Purchase Order is issued by Meridian Digital Solutions GmbH (hereinafter referred to as the "Buyer") to Apex Consulting & Management Services UG (hereinafter referred to as the "Supplier") for the engagement of a qualified Project Manager to oversee, coordinate, and deliver the "Berlin Infrastructure Modernisation Programme" (Project Ref: BIM-2025). The Project Manager shall be physically based in Germany Berlin and shall report directly to the Buyer's Chief Technology Officer. All services described in this Purchase Order shall be performed in accordance with the professional standards expected of a senior Project Manager operating within the Germany Berlin business environment, including compliance with applicable German labour regulations, data protection requirements under the GDPR, and local commercial practices.

- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Germany Berlin.
- Commencement and Duration: The Project Manager engagement shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, unless terminated earlier in accordance with Clause 7. The Project Manager shall be available on-site in Germany Berlin from Monday to Friday, 08:00 to 17:00 CET, with a one-hour unpaid lunch break.
- Payment: The Supplier shall issue monthly invoices to the Buyer. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. All payments shall be made in EUR via bank transfer to the account designated by the Supplier. Late payments shall accrue interest at the statutory rate under § 288 of the German Civil Code (BGB).
- Confidentiality and Data Protection: The Project Manager shall be bound by strict confidentiality obligations regarding all proprietary information of the Buyer. All personal data processed in the course of this Purchase Order shall be handled in full compliance with the EU General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG). A separate Data Processing Agreement (DPA) shall be executed prior to commencement.
- Intellectual Property: All work product, reports, plans, and deliverables created by the Project Manager in the performance of this Purchase Order in Germany Berlin shall be the sole and exclusive property of the Buyer upon full payment.
- Subcontracting: The Supplier shall not subcontract any portion of the Project Manager engagement without the prior written consent of the Buyer. Any approved subcontractor shall be based in Germany Berlin and shall be subject to the same terms as this Purchase Order.
- Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. The Buyer may terminate immediately for material breach, including but not limited to the Project Manager's failure to meet agreed KPIs for two consecutive months or a material violation of German employment or data protection law.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Germany Berlin, or pandemics, provided that the affected party notifies the other within five (5) business days.
- Compliance: The Supplier warrants that the Project Manager shall comply with all applicable German and EU regulations, including but not limited to the German Occupational Safety and Health Act (ArbSchG), the Working Hours Act (ArbZG), and all local ordinances applicable in Germany Berlin.
- Entire Agreement: This Purchase Order, together with any attached schedules and the DPA, constitutes the entire agreement between the parties with respect to the Project Manager engagement and supersedes all prior negotiations, representations, and agreements relating to the subject matter hereof.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the Project Manager engagement in Germany Berlin. This Purchase Order becomes effective upon execution by both authorised signatories.
