1. This Purchase Order constitutes a binding agreement between Meridian Industrial Solutions GmbH (hereinafter "Buyer") and Apex Project Management Consulting GmbH (hereinafter "Supplier") for the provision of Project Manager services in Frankfurt, Germany.
2. The Project Manager assigned to this engagement must hold a minimum of ten (10) years of experience in industrial or logistics project delivery within the German market and must be fluent in both German and English to facilitate effective communication with local authorities, subcontractors, and the Frankfurt-based executive team.
3. Payment terms: Net 30 days from the date of invoice receipt. Invoices shall be submitted monthly in arrears. All payments shall be made via SEPA bank transfer to the IBAN specified above. Late payments shall incur interest at the statutory rate under German commercial law (Handelsgesetzbuch § 288).
4. The Supplier warrants that the Project Manager shall comply with all applicable German labour regulations, data protection laws (GDPR), and site-specific safety requirements at the Frankfurt, Germany work location.
5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
6. Intellectual property: All project documentation, reports, and deliverables produced by the Project Manager in the course of this engagement shall remain the exclusive property of Meridian Industrial Solutions GmbH.
7. Governing law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
8. Force majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or pandemics affecting operations in Frankfurt, Germany.
Notes: This Purchase Order is specifically issued to secure a qualified Project Manager for the Frankfurt Logistics Hub Expansion Project. The Project Manager will report directly to the VP of Operations and will coordinate with municipal planning authorities in Frankfurt, Germany. All deliverables must be submitted in both German and English. The Supplier is required to confirm acceptance of this Purchase Order in writing within five (5) business days of receipt.
