- This Purchase Order is issued by TechNova Solutions Pvt. Ltd., Bangalore, India, and governs the engagement of Project Manager professionals through Apex Talent Partners LLP for a period of twelve (12) months commencing 01 August 2025.
- All Project Manager personnel engaged under this Purchase Order shall report to the India Bangalore delivery centre located at Prestige Tech Park, Whitefield, Bangalore, Karnataka. A hybrid work model of three (3) on-site days and two (2) remote days per week shall apply unless otherwise directed by the engagement manager.
- The vendor shall ensure that all Project Manager candidates possess a minimum of five (5) years of relevant experience in software or IT services project management, with at least two (2) years of experience in the India Bangalore market or equivalent South Asian delivery environments.
- Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the vendor. Invoices must include the vendor's GSTIN, the Purchase Order number (PO/BLR/2025/PM-0472), and a detailed breakdown of services rendered for the billing period.
- The vendor is responsible for all statutory deductions including Professional Tax (Karnataka), Provident Fund (PF), Employee State Insurance (ESI), and TDS as applicable under the Income Tax Act, 1961 of India. The vendor shall submit monthly compliance reports to the buyer's finance team in Bangalore.
- Any change in scope, additional Project Manager headcount, or modification to the work location within India Bangalore must be documented through a formal Purchase Order amendment signed by both parties. Verbal or email-only modifications shall not be binding.
- The vendor warrants that all Project Manager personnel shall be free from any conflict of interest and shall adhere to the buyer's code of conduct, data protection policies, and intellectual property agreements as per Indian law.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the vendor shall facilitate a smooth knowledge transfer of all ongoing Project Manager responsibilities to the buyer's internal team in Bangalore within the notice period.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Bangalore, Karnataka, India, in accordance with the Arbitration and Conciliation Act, 1996. The governing law shall be the laws of India.
- This Purchase Order supersedes all prior quotations, proposals, and verbal agreements between the parties regarding the engagement of Project Manager services in India Bangalore.
