- This Purchase Order is issued in accordance with the procurement policies of PT Nusantara Digital Solutions and applicable Indonesian commercial law, including the Indonesian Civil Code (Kitab Undang-Undang Hukum Perdata) and relevant Ministry of Manpower regulations governing employment and service contracts in Indonesia Jakarta.
- The Project Manager shall commence duties no later than 01 July 2025 at the Indonesia Jakarta headquarters located in the SCBD District. Failure to commence within the stipulated period may result in a penalty of 0.5% of the monthly fee per day of delay, up to a maximum of 10%.
- Payment shall be made in monthly installments via bank transfer to the supplier's designated account within 30 days of receipt of a valid invoice and satisfactory completion of the Project Manager's monthly deliverables. All payments are subject to the withholding tax (PPh 23) as mandated by the Directorate General of Taxes of Indonesia.
- The Project Manager is required to maintain full-time availability (Monday to Friday, 08:00–17:00 WIB) at the Indonesia Jakarta office, with the flexibility to attend off-site project meetings at various locations across Greater Jakarta (Jakarta Utara, Jakarta Barat, Jakarta Timur, and Jakarta Selatan) as project demands require.
- The supplier warrants that the Project Manager engaged under this Purchase Order shall not be under any non-compete or confidentiality obligation to a third party that would conflict with the duties assigned by PT Nusantara Digital Solutions.
- Either party may terminate this Purchase Order with a 60-day written notice. In the event of termination, the Project Manager shall complete all outstanding deliverables and hand over project documentation within the notice period.
- All disputes arising from this Purchase Order shall be resolved through mediation in Indonesia Jakarta, and if unresolved, shall be submitted to the Commercial Court of Jakarta (Pengadilan Negeri Jakarta Pusat) in accordance with Indonesian jurisdiction.
- The Project Manager shall comply with all data protection requirements under Indonesia's Personal Data Protection Law (UU PDP No. 27 Tahun 2022) when handling any personal or sensitive project data within the Indonesia Jakarta operations.
The services described in this Purchase Order shall be delivered and performed at the Indonesia Jakarta office premises. Acceptance of the Project Manager's services shall be confirmed in writing by the Head of Procurement or the designated Project Sponsor within five (5) business days of each monthly reporting cycle. Any deficiencies identified during the acceptance period must be remedied by the Project Manager within ten (10) business days at no additional cost to the purchasing party.
