- This Purchase Order constitutes a binding agreement between Lombardi Corporate Solutions S.r.l. (hereinafter "the Buyer") and Alpina Management Consulting S.p.A. (hereinafter "the Supplier") for the provision of Project Manager services exclusively within the Italy Milan operational area, unless otherwise agreed in writing by both parties.
- The Project Manager shall commence duties no later than 1 July 2025 and shall report directly to the Programme Director based at the Buyer's headquarters in Milan, Italy. All work shall be performed in accordance with the project charter, governance framework, and quality standards established for the Milan Innovation Hub 2025 programme.
- Payment terms: The Supplier shall issue monthly invoices to the Buyer. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice, via bank transfer to the IBAN specified above. Late payments shall accrue interest at the rate prescribed by Italian law (Legge 28/2020 on late payment in commercial transactions).
- The Project Manager shall comply with all applicable Italian labour regulations, data protection requirements under the GDPR and the Italian Privacy Code (D.Lgs. 196/2003 as amended), and the specific provisions of the Italian Public Contracts Code (Codice dei Contratti Pubblici) where public funding is involved.
- Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Supplier shall ensure a structured handover of all project documentation, work-in-progress deliverables, and stakeholder relationships to a successor Project Manager nominated by the Buyer.
- All intellectual property, project documentation, reports, and deliverables produced by the Project Manager in the course of this engagement shall be the exclusive property of the Buyer. The Supplier warrants that all services rendered shall be original and free from any third-party intellectual property claims.
- Disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent courts of Milan, Italy, in accordance with Italian civil procedure law.
- This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Italian Republic. The Project Manager engagement is subject to the operational and regulatory environment of Italy Milan, including any local ordinances, zoning regulations, or municipal directives that may affect project execution.
- The Supplier shall maintain adequate professional indemnity and liability insurance coverage for the duration of the Project Manager engagement, with a minimum coverage of EUR 1,000,000 per occurrence. Certificates of insurance shall be provided to the Buyer upon request.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all commercial, technical, and strategic information exchanged in connection with this Purchase Order and the Project Manager engagement.
