Scope of Engagement: Senior Project Manager services for the Kyoto Smart City Integration Programme

This Purchase Order is issued by Kyoto Digital Infrastructure Co., Ltd. to formally procure the professional services of a qualified Project Manager to oversee, coordinate, and deliver the Kyoto Smart City Integration Programme. The Project Manager shall be physically based in Japan Kyoto for the duration of the engagement and shall report directly to the Chief Operations Officer of the purchasing entity. The contracted Project Manager shall perform the following duties within the Japan Kyoto operational environment:

  • Develop and maintain the master project schedule for the Kyoto Smart City Integration Programme, ensuring alignment with Japan Kyoto municipal development timelines and fiscal year boundaries.
  • Coordinate cross-functional teams comprising engineers, urban planners, IT specialists, and Japan Kyoto government liaison officers to ensure seamless delivery of all work packages.
  • Conduct weekly status meetings at the Kyoto Digital Infrastructure headquarters in Higashiyama-ku, Japan Kyoto, and produce written progress reports in both Japanese and English.
  • Manage the project budget of JPY 21,802,000 as outlined in this Purchase Order, providing monthly variance analysis and cost-control recommendations to the steering committee.
  • Identify, assess, and mitigate risks specific to the Japan Kyoto region, including seasonal weather impacts on outdoor infrastructure work, local regulatory changes, and supply-chain disruptions affecting the Japan Kyoto metropolitan area.
  • Facilitate stakeholder engagement sessions with Japan Kyoto city council members, local residents' associations, and partner organisations to maintain transparency and community buy-in throughout the project lifecycle.
  • Ensure all deliverables comply with Japan Kyoto municipal building codes, data-privacy regulations (APPI), and environmental sustainability standards mandated by the Japan Kyoto Prefectural Government.
  • Prepare the final project closure report, lessons-learned documentation, and handover package for ongoing operations within Japan Kyoto.
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan, with the Japan Kyoto District Court holding exclusive jurisdiction over any disputes arising from this engagement.
  2. Commencement & Duration: The Project Manager services shall commence on 1 July 2025 and continue for a period of twelve (12) months, subject to renewal by mutual written agreement.
  3. Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment shall be made via bank transfer to the supplier's designated account within thirty (30) days of invoice receipt, in accordance with Japan Kyoto corporate treasury procedures.
  4. Confidentiality: The Project Manager shall maintain strict confidentiality regarding all proprietary information, Japan Kyoto municipal data, and project deliverables. A separate Non-Disclosure Agreement (NDA) is attached as Appendix A.
  5. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, termination may occur with fourteen (14) days' notice. All work completed in Japan Kyoto up to the termination date shall be invoiced and settled.
  6. Force Majeure: Neither party shall be liable for delays caused by natural disasters (including earthquakes and typhoons common to the Japan Kyoto region), government mandates, or other events beyond reasonable control.
  7. Intellectual Property: All project documentation, schedules, reports, and deliverables produced by the Project Manager in the course of this engagement in Japan Kyoto shall become the sole property of Kyoto Digital Infrastructure Co., Ltd.
  8. Compliance: The Project Manager shall comply with all applicable Japanese labour laws, tax obligations, and Japan Kyoto local ordinances throughout the engagement period.
