The Project Manager shall commence duties no later than 1 August 2025 at the Buyer's Japan Tokyo headquarters located in Shibuya. The engagement period shall span twelve (12) calendar months, concluding on 31 July 2026, unless extended by mutual written agreement. The Project Manager is expected to maintain a minimum of five (5) on-site working days per week at the Japan Tokyo office, with the remaining time allocated to remote coordination with satellite teams. All project deliverables, meeting minutes, and governance documents produced by the Project Manager shall be submitted in both English and Japanese to ensure full compliance with Japan Tokyo corporate reporting standards.
4. PAYMENT TERMS- Payment shall be made in Japanese Yen (JPY) via bank transfer to the Seller's designated account in Japan Tokyo.
- Invoices shall be submitted monthly by the 5th business day for the preceding calendar month.
- Payment terms: Net 30 days from the date of invoice receipt, in accordance with standard Japan Tokyo commercial practice.
- A 1.5% monthly late-payment interest shall apply to overdue amounts, consistent with the Japanese Late Payment of Compensation Act.
- All payments are subject to the Buyer's verification that the Project Manager has fulfilled the milestone deliverables outlined in the attached Statement of Work.
- This Purchase Order is governed by the laws of Japan, with jurisdiction vested in the Tokyo District Court.
- The Project Manager shall comply with all applicable Japanese labor regulations, data protection laws (APPI), and corporate security policies in force in Japan Tokyo.
- The Seller warrants that the Project Manager engaged under this Purchase Order possesses a minimum of ten (10) years of experience in IT infrastructure projects and holds PMP or PRINCE2 certification.
- Confidentiality: The Project Manager shall execute a Non-Disclosure Agreement (NDA) prior to commencing work in Japan Tokyo. All project data, client information, and proprietary systems accessed during the engagement remain the exclusive property of the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered by the Project Manager up to the effective date of termination.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters (including earthquakes and typhoons common to Japan Tokyo), government mandates, or other events beyond reasonable control.
