This Purchase Order is issued by Al-Nakheel Construction & Development W.L.L. to formally engage the services of a qualified Project Manager for the duration of the "Kuwait City Mixed-Use Commercial Development" project. The Project Manager shall be physically stationed at the project site located in Kuwait Kuwait City and shall report directly to the Buyer's Chief Executive Officer. - Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Kuwait. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Kuwait Kuwait City.
- Payment Terms: Payment shall be made on a monthly basis within thirty (30) calendar days of receipt of a valid invoice from the Supplier. Invoices must reference this Purchase Order number (PO-KWT-2025-00847) and the project reference (KWC-PM-2025-031). All payments shall be made in Kuwaiti Dinars (KWD) via bank transfer to the Supplier's designated account in Kuwait Kuwait City.
- Project Manager Qualifications: The Project Manager engaged under this Purchase Order must hold a minimum of ten (10) years of experience in large-scale commercial construction projects, possess a PMP or PRINCE2 certification, and demonstrate prior experience managing projects in Kuwait Kuwait City or the GCC region. The Buyer reserves the right to reject and request replacement of the Project Manager within the first sixty (60) days if performance is unsatisfactory.
- Work Location: The primary and mandatory work location for the Project Manager shall be the project site and the Buyer's office in Kuwait Kuwait City. The Project Manager is required to be present on-site a minimum of five (5) days per week, Monday through Friday, in accordance with Kuwaiti working hours.
- Confidentiality: The Supplier and the Project Manager shall maintain strict confidentiality regarding all project plans, financial data, architectural drawings, and proprietary information belonging to the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of material breach by the Supplier, the Buyer may terminate immediately upon written notice. Upon termination, the Supplier shall hand over all project documentation, schedules, and records to the Buyer within fourteen (14) days at the Kuwait Kuwait City project office.
- Insurance and Liability: The Supplier shall maintain professional indemnity insurance with a minimum coverage of KWD 500,000 for the duration of the Project Manager's engagement. The Supplier shall be liable for any damages or losses directly caused by the negligence or professional misconduct of the Project Manager.
- Compliance: The Project Manager shall comply with all applicable Kuwaiti labor laws, building regulations, environmental standards, and municipal bylaws as enforced in Kuwait Kuwait City. The Supplier is responsible for obtaining and maintaining all necessary work permits and residency visas for the Project Manager and support staff.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting Kuwait Kuwait City.
- Entire Agreement: This Purchase Order, together with any attached schedules and the Master Service Agreement dated 01 January 2025, constitutes the entire agreement between the parties regarding the engagement of the Project Manager for the project in Kuwait Kuwait City.
