4.1 Payment Terms: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice. All payments shall be processed in Moroccan Dirhams (MAD) via bank transfer to the supplier's account at Bank of Africa (BMCE), Casablanca branch. This Purchase Order is governed by the Moroccan Commercial Code and applicable provisions of the Moroccan Civil Code.

4.2 Performance Bond: The supplier shall provide a performance bond equivalent to ten percent (10%) of the total Purchase Order value, issued by a licensed Moroccan bank, within fifteen (15) days of the Purchase Order acceptance date.

4.3 Project Manager Qualifications: The Project Manager assigned to this engagement must hold a PMP or PRINCE2 certification, possess a minimum of ten (10) years of progressive experience in large-scale IT and infrastructure projects, and demonstrate proven familiarity with the regulatory and administrative landscape of Morocco Casablanca, including the Casablanca-Settat regional development framework.

4.4 Working Location: The primary duty station of the Project Manager shall be the Atlas Digital Solutions office located at 42 Boulevard Mohammed V, Casablanca, Morocco. Occasional travel to Rabat, Tangier, and other Moroccan cities may be required and shall be pre-approved in writing.

4.5 Confidentiality: The Project Manager and all personnel engaged under this Purchase Order shall be bound by a non-disclosure agreement in accordance with Moroccan Law 09-08 on the protection of personal data and the Moroccan Commercial Code provisions on trade secrets.

4.6 Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Project Manager shall complete a full handover of all project documentation, work-in-progress deliverables, and stakeholder records within fifteen (15) days of the termination effective date.

4.7 Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved amicably. Failing amicable resolution within thirty (30) days, the dispute shall be submitted to the competent commercial courts of Morocco Casablanca or, at the election of the Buyer, to arbitration under the rules of the Moroccan Centre for Arbitration and Mediation (CMA).

4.8 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco, including but not limited to the Moroccan Labour Code, the Moroccan Commercial Code, and all applicable regulations of the Morocco Casablanca Chamber of Commerce, Industry, and Services (CCIS).
