This Purchase Order is issued by Golden Pagoda Infrastructure Development Co., Ltd. to YPM Solutions for the engagement of a qualified Project Manager to oversee and coordinate the Yangon Riverside Commercial Complex construction project. The appointed Project Manager shall be based in Myanmar Yangon and shall report directly to the Director of Operations. The services described in this Purchase Order are subject to the terms and conditions outlined below and in the attached Service Level Agreement (SLA).

- Payment shall be made in Myanmar Kyat (MMK) via bank transfer to the supplier's designated account at CB Bank, Yangon Branch.
- Monthly invoices shall be submitted by the 5th of each month for services rendered in the preceding month. Payment is due within 30 days of invoice receipt.
- A 10% retention shall be withheld from each monthly payment and released in full upon satisfactory completion of the 12-month Project Manager engagement period.
- All payments are subject to the terms stated in this Purchase Order and applicable Myanmar tax regulations as administered by the Inland Revenue Department, Yangon Regional Office.
- The Project Manager engaged under this Purchase Order must hold a minimum of 10 years of experience in large-scale construction or infrastructure project management and must be physically present in Myanmar Yangon for no fewer than 5 days per week.
- The Project Manager shall comply with all applicable Myanmar labour laws, the Myanmar Construction Industry Law, and local building codes enforced by the Yangon City Development Committee.
- YPM Solutions warrants that the Project Manager shall not be concurrently engaged on any competing project within the Yangon metropolitan area during the term of this Purchase Order.
- Either party may terminate this Purchase Order with 60 days' written notice. In the event of early termination, the Buyer shall compensate the Supplier for all services rendered up to the termination date, less the 10% retention.
- All intellectual property, project documentation, risk registers, and progress reports generated by the Project Manager in the course of this engagement shall become the sole property of Golden Pagoda Infrastructure Development Co., Ltd.
- Disputes arising from this Purchase Order shall be resolved through mediation in Myanmar Yangon in accordance with the Myanmar Arbitration Law. If mediation fails, the matter shall be referred to the Yangon Regional Court.
- This Purchase Order is governed by the laws of the Republic of the Union of Myanmar.
