1. Governing Law: This Purchase Order and all associated services shall be governed by and interpreted in accordance with the laws of the Kingdom of the Netherlands. Any disputes arising from this Purchase Order regarding the Project Manager engagement shall be subject to the exclusive jurisdiction of the District Court of Amsterdam, Netherlands.
2. Project Manager Qualifications: The Project Manager assigned to this Purchase Order shall hold a minimum of ten (10) years of experience in enterprise-level project management, possess a PMP or PRINCE2 certification, and demonstrate proven experience managing programmes of equivalent scale within the Netherlands Amsterdam business environment.
3. Work Location: The Project Manager shall perform all duties primarily from the Netherlands Amsterdam office at Herengracht 450. Remote work is permitted for a maximum of one (1) day per week, subject to prior written approval from the Buyer's Programme Director.
4. Confidentiality: The Project Manager shall maintain strict confidentiality regarding all proprietary information, trade secrets, and project data encountered during the term of this Purchase Order. This obligation shall survive the termination of the engagement for a period of five (5) years.
5. Compliance: The Project Manager shall comply with all applicable Dutch labour laws, the Dutch Working Hours Act (Wet arbeidsomstandigheden), and all internal policies of Amsterdam Digital Infrastructure B.V. The Project Manager shall also adhere to the Amsterdam municipal regulations regarding business operations within the Netherlands Amsterdam city centre.
6. Termination: Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of termination, the Project Manager shall complete all outstanding deliverables and hand over all project documentation to the Buyer within thirty (30) days of the termination effective date.
7. Performance KPIs: The Project Manager's performance shall be evaluated quarterly against predefined Key Performance Indicators including schedule adherence (minimum 95%), budget variance (within ±5%), stakeholder satisfaction (minimum 4.0 out of 5.0), and risk closure rate (minimum 90%). Failure to meet KPIs for two consecutive quarters shall constitute grounds for termination without penalty.
8. Insurance: The Supplier shall maintain professional indemnity insurance with a minimum coverage of €2,000,000 and public liability insurance of €1,000,000, valid throughout the term of this Purchase Order. Certificates of insurance shall be provided to the Buyer upon request.
9. Intellectual Property: All project documentation, reports, plans, and deliverables produced by the Project Manager in the course of this Purchase Order shall be the sole property of Amsterdam Digital Infrastructure B.V. The Project Manager shall assign all intellectual property rights upon creation.
10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in the Netherlands Amsterdam area, or pandemics, provided that the affected party notifies the other within five (5) business days.
