- Scope of Engagement: The Project Manager engaged under this Purchase Order shall be solely responsible for the end-to-end management of the Abuja Smart City Infrastructure Programme. The Project Manager's duties include but are not limited to: developing the project charter, creating detailed work breakdown structures, managing the project budget not exceeding NGN 2.5 billion, coordinating with all Nigeria Abuja-based government agencies, and ensuring all deliverables meet the specifications outlined in the attached Statement of Work.
- Commencement and Duration: Services under this Purchase Order shall commence on 01 July 2025 and shall continue for a period of twelve (12) months, subject to satisfactory performance reviews conducted quarterly by the Abuja Infrastructure Development Authority. The Project Manager must be physically present in Nigeria Abuja for a minimum of five (5) working days per week.
- Payment Schedule: Payment shall be made monthly in arrears within thirty (30) days of receipt of a valid invoice from the supplier. The Project Manager's monthly fee of NGN 4,500,000.00 shall be disbursed upon submission of the monthly progress report and approval by the AIDA Finance Director. All payments shall be made via bank transfer to the account designated by Apex Project Management Consultants Ltd.
- Performance Standards: The Project Manager shall adhere to internationally recognized project management standards. Failure to meet key performance indicators (KPIs) as defined in the Statement of Work for two consecutive months shall constitute grounds for termination of this Purchase Order with thirty (30) days written notice.
- Confidentiality: The Project Manager and all support personnel shall maintain strict confidentiality regarding all project data, financial records, and strategic plans of the Abuja Infrastructure Development Authority. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order by providing sixty (60) days written notice. In the event of termination, the Project Manager shall hand over all project documentation, work-in-progress materials, and access credentials to the Abuja Infrastructure Development Authority within fourteen (14) days of the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order shall be resolved through arbitration in Nigeria Abuja in accordance with the Arbitration and Conciliation Act (Cap A18, LFN 2004).
- Compliance: The Project Manager shall comply with all applicable Nigerian labor laws, tax obligations (including PAYE and pension contributions), and Federal Capital Territory development regulations. The supplier shall provide evidence of all statutory registrations and insurance coverage prior to commencement of services.
