1. Scope of Engagement: This Purchase Order authorizes the engagement of the named Project Manager to provide comprehensive project management services for the Lima Metro Line 4 infrastructure project. The Project Manager shall report directly to the General Director of Andina Infrastructure Solutions S.A.C. and shall operate primarily from the project office located in San Borja, Lima, Peru. All deliverables must comply with Peruvian construction regulations (RNE - Reglamento Nacional de Edificaciones) and the specific technical standards established by the Lima Metropolitan Municipality.
2. Payment Schedule: Payment for this Purchase Order shall be made in monthly installments via bank transfer to the account designated by the Project Manager. Each monthly invoice must be accompanied by a detailed timesheet, progress report, and certification of services rendered. Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice at the Lima headquarters of Andina Infrastructure Solutions S.A.C. All amounts are expressed in Peruvian Soles (PEN) and are subject to the applicable IGV tax rate of 18% as established by the Peruvian tax authority (SUNAT).
3. Performance Standards: The Project Manager shall adhere to the Project Management Body of Knowledge (PMBOK) standards and shall maintain active PMP certification throughout the contract period. The Project Manager is expected to be physically present at the Lima project site a minimum of five (5) days per week, with remote availability for urgent matters. Failure to meet the agreed-upon performance metrics, as defined in the project management plan, may result in a formal notice of non-conformance and, if unresolved within fifteen (15) business days, termination of this Purchase Order without penalty to the issuing company.
4. Confidentiality and Data Protection: The Project Manager acknowledges that all project documentation, financial records, and strategic plans related to the Lima Metro Line 4 project are proprietary to Andina Infrastructure Solutions S.A.C. The Project Manager shall comply with Peruvian Law No. 29733 (Personal Data Protection Law) and shall not disclose any confidential information to third parties without prior written authorization. This obligation survives the termination of this Purchase Order for a period of three (3) years.
5. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice delivered to the registered address in Lima, Peru. In the event of termination for convenience, the Project Manager shall be compensated for all services rendered up to the effective date of termination. In the event of termination for cause, no further compensation shall be due beyond amounts already invoiced and approved.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Peru, including the Peruvian Civil Code, the Commercial Code, and applicable regulations of the Municipalidad Metropolitana de Lima. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Lima, Peru, in accordance with the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Lima (CAC-CCL).
7. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters affecting the Lima coastal region, government-mandated shutdowns, or acts of war. The affected party shall notify the other within five (5) business days of the occurrence of such event.
