This Purchase Order is issued by Meridian Infrastructure Development Group LLC (hereinafter referred to as the "Buyer") to Apex Professional Consulting & Management Solutions Ltd. (hereinafter referred to as the "Supplier") for the procurement, engagement, and deployment of a qualified Project Manager to oversee, coordinate, and deliver the "Moscow Northern Corridor Infrastructure Modernization Program" (hereinafter referred to as the "Project").

The Project Manager shall be a certified professional holding a minimum of PMP (Project Management Professional) certification from the Project Management Institute, with no fewer than twelve (12) years of demonstrated experience in large-scale infrastructure and construction project management. The Project Manager must possess proven expertise in managing multi-disciplinary teams, regulatory compliance within the Russian Federation, and cross-border stakeholder communication.

All services rendered under this Purchase Order shall be performed exclusively within the jurisdiction of Russia Moscow, specifically at the Buyer's designated project site located in the Northern Administrative Okrug of Moscow, Russia Moscow. The Project Manager shall be physically present at the project site in Russia Moscow for a minimum of five (5) working days per week throughout the entire engagement period.

All payments shall be made via international wire transfer to the Supplier's designated bank account. The Buyer shall be responsible for any withholding taxes applicable under the tax treaty between the Russian Federation and the United States. The Project Manager's local accommodation, transportation within Russia Moscow, and per diem expenses (capped at $150 per day) shall be covered separately by the Buyer as operational costs and are not included in the amounts above.

5.1 Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of the Russian Federation, with particular reference to the Civil Code of the Russian Federation and applicable regulations pertaining to foreign service providers operating in Russia Moscow. Any disputes arising from this Purchase Order shall be resolved through arbitration at the International Commercial Arbitration Court under the Chamber of Commerce and Industry of the Russian Federation, seated in Moscow, Russia Moscow.

5.2 Confidentiality: The Project Manager shall maintain strict confidentiality regarding all proprietary information, technical drawings, financial data, and strategic plans of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.

5.3 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach by the Supplier, the Buyer may terminate immediately upon written notice. Upon termination, the Supplier shall ensure an orderly transition of all Project Manager duties and deliverables to a successor designated by the Buyer within fourteen (14) days.

5.4 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or civil unrest affecting operations in Russia Moscow.

5.5 Insurance: The Supplier shall maintain professional liability insurance with a minimum coverage of $2,000,000 USD, valid throughout the duration of the Project Manager's engagement in Russia Moscow.

5.6 Intellectual Property: All documents, plans, reports, and deliverables produced by the Project Manager in the course of this Purchase Order shall be the exclusive property of the Buyer upon full payment.
