Description of Goods and ServicesThis Purchase Order is issued by Al-Nakheel Infrastructure Development Co. Ltd. to procure the professional services of a qualified Project Manager to oversee the Jeddah Coastal Highway Expansion Phase II. The Project Manager shall be physically stationed in Saudi Arabia Jeddah for the duration of the engagement and shall report directly to the Chief Executive Officer of the Purchaser. All deliverables, site inspections, stakeholder meetings, and progress reporting shall be conducted within the boundaries of Saudi Arabia Jeddah and its immediate metropolitan area.

- This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia, including the Saudi Civil Transactions Law and the Saudi Construction Law. Any disputes arising from this Purchase Order shall be resolved through the Jeddah Commercial Court or, at the Purchaser's election, through arbitration administered by the Saudi Center for Commercial Arbitration (SCCA) in Jeddah.
- The Project Manager engaged under this Purchase Order must hold a valid Project Management Professional (PMP) certification issued by the Project Management Institute (PMI) and a minimum of twelve (12) years of progressive experience in large-scale civil infrastructure projects. The Supplier warrants that the Project Manager shall be fully compliant with all Saudi Arabian labor regulations, including the Nitaqat (Saudization) requirements applicable to the construction sector in Jeddah.
- All services under this Purchase Order shall be performed exclusively in Saudi Arabia Jeddah. The Project Manager shall maintain a minimum on-site presence of five (5) days per week at the Jeddah Coastal Highway Expansion Phase II construction site, located along King Fahd Road, Al Shati District. Any travel outside the Jeddah metropolitan area requires prior written approval from the Purchaser's Procurement Director.
- Payment shall be made in Saudi Riyal (SAR) via bank transfer to the Supplier's designated account within thirty (30) calendar days of receipt of a valid tax invoice. The Supplier shall issue invoices in accordance with the ZATCA (Zakat, Tax and Customs Authority) e-invoicing requirements. Late payments shall accrue interest at a rate of 1.5% per month as stipulated under Saudi commercial law.
- The Supplier shall maintain comprehensive professional indemnity insurance with a minimum coverage of SAR 5,000,000 for the duration of this Purchase Order. A certificate of insurance shall be provided to the Purchaser prior to the commencement of services by the Project Manager in Saudi Arabia Jeddah.
- Confidentiality: All project documentation, financial data, and proprietary information accessed by the Project Manager in the course of performing duties under this Purchase Order shall be treated as strictly confidential. The Supplier and the Project Manager shall execute a Non-Disclosure Agreement (NDA) in Arabic and English prior to site access in Jeddah.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Supplier shall ensure an orderly handover of all project documentation, schedules, and records to the Purchaser within fourteen (14) days. The Project Manager's employment and visa sponsorship shall be processed for cancellation in accordance with Saudi Ministry of Human Resources and Social Development regulations.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, government sanctions, or civil unrest affecting the Jeddah region. The affected party shall notify the other within forty-eight (48) hours of the occurrence.
- This Purchase Order constitutes the entire agreement between the parties with respect to the procurement of Project Manager services for the Jeddah Coastal Highway Expansion Phase II and supersedes all prior negotiations, representations, and agreements, whether written or oral.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Project Manager in Saudi Arabia Jeddah.
