1. This Purchase Order constitutes a binding agreement between Al-Nakheel Construction & Development Group Co. Ltd. (hereinafter "the Buyer") and Professional Talent Solutions & Management Consulting FZE (hereinafter "the Vendor") for the engagement of a qualified Project Manager and associated support services for the Al-Nakheel Commercial Tower project located in Riyadh, Saudi Arabia.
2. The Project Manager shall report directly to the Chief Executive Officer of Al-Nakheel and shall be physically present at the project site in Riyadh, Saudi Arabia, no fewer than five (5) working days per week, in accordance with the standard working hours as defined by Saudi Arabian labor law (Sunday through Thursday, 7:30 AM to 4:30 PM, with a one-hour prayer and meal break).
3. The Vendor shall ensure that the Project Manager holds a valid PMP (Project Management Professional) certification, a minimum of fifteen (15) years of experience in large-scale construction or infrastructure projects, and fluency in both English and Arabic. A copy of the CV, certifications, and references shall be submitted to the Buyer for approval no later than ten (10) business days prior to the commencement date.
4. All services rendered under this Purchase Order shall comply with the laws and regulations of the Kingdom of Saudi Arabia, including but not limited to the Saudi Labor Law, the Anti-Corruption Law, the Data Protection Law, and all applicable regulations issued by the Saudi Building Authority (SBA) and the Riyadh Municipality.
5. Payment shall be made via bank transfer to the Vendor's designated account in Saudi Riyal (SAR) within thirty (30) calendar days of receipt of a valid tax invoice. The Buyer reserves the right to withhold payment for any deliverables not meeting the acceptance criteria defined in the Statement of Work.
6. The Project Manager shall be subject to the Buyer's code of conduct, health and safety policies, and site access protocols. The Vendor remains the employer of record for all personnel, and the Buyer assumes no liability for employment-related claims.
7. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for convenience, the Buyer shall pay for all services rendered up to the termination date. In the event of termination for cause, the Vendor shall be liable for any direct losses incurred by the Buyer.
8. All intellectual property, project documentation, schedules, reports, and deliverables produced by the Project Manager in the course of this engagement shall be the sole property of Al-Nakheel Construction & Development Group Co. Ltd. and shall be delivered in electronic and hard-copy format upon request.
9. Disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to arbitration in Riyadh, Saudi Arabia, in accordance with the rules of the Saudi Center for Commercial Arbitration (SCCA). The governing law shall be the laws of the Kingdom of Saudi Arabia.
10. This Purchase Order is valid for acceptance until 30 June 2025. Failure to confirm acceptance by the Vendor within this period shall render this document null and void. Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties.

The Project Manager and support team shall report to the Al-Nakheel Project Management Office located at King Fahd Road, Al Olaya District, Riyadh, Saudi Arabia, no later than 07:30 AM on 01 July 2025. The Vendor shall confirm the final names, passport details, and visa status of all assigned personnel no later than 20 June 2025 to allow sufficient time for Iqama processing and work permit issuance through the Absher platform and the Ministry of Human Resources and Social Development.
