This Purchase Order authorizes the engagement of a senior Project Manager to oversee, coordinate, and deliver the Dakar Smart City Infrastructure Programme. The Project Manager shall be responsible for the end-to-end management of all construction, civil engineering, and digital infrastructure workstreams within the Senegal Dakar metropolitan area. The Project Manager must demonstrate proven experience in managing large-scale urban development projects in West Africa, with specific familiarity with Senegalese regulatory frameworks, local labor laws, and the operational environment of Dakar.
The Project Manager shall report directly to the WAIDG Regional Director for West Africa and shall coordinate with the Senegalese Ministry of Urban Planning, the Dakar municipal authorities, and all subcontractors operating within the project perimeter. The Project Manager is expected to maintain a full-time presence in Senegal Dakar for the duration of the engagement, with a minimum of five (5) working days per week on-site.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal, including the Senegalese Code of Public Procurement and applicable commercial codes. Any disputes arising from this Purchase Order relating to the Project Manager engagement in Senegal Dakar shall be resolved through arbitration in Dakar under the rules of the Senegalese Arbitration Centre.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. All payments shall be made in CFA Francs (XOF) via bank transfer to the account specified in Section 1. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Senegalese commercial law.
- Performance Obligations: The Project Manager shall deliver weekly progress reports, monthly executive summaries, and quarterly risk assessments to the WAIDG Regional Director. Failure to meet deliverable milestones for two consecutive months shall constitute a material breach of this Purchase Order.
- Local Compliance: The Project Manager must comply with all Senegalese labor regulations, including the minimum wage provisions of the Senegalese Labor Code, social security contributions (CNSS), and tax withholding obligations applicable in Dakar. The vendor is responsible for ensuring the Project Manager holds a valid work permit issued by the Senegalese Ministry of Labor.
- Intellectual Property: All project documentation, plans, reports, and deliverables produced by the Project Manager in the course of this engagement in Senegal Dakar shall be the exclusive property of WAIDG upon full payment.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the Project Manager shall complete all in-progress deliverables and hand over all project documentation to WAIDG within fifteen (15) days of the termination effective date.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, civil unrest in Senegal Dakar, government-imposed lockdowns, or epidemics, provided that the affected party notifies the other within five (5) business days.
- Confidentiality: The Project Manager shall maintain strict confidentiality regarding all WAIDG proprietary information, project specifications, and financial data. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
Important: The Project Manager must be physically present in Senegal Dakar for the duration of this Purchase Order. Remote work is not permitted except for a maximum of two (2) days per month with prior written approval from the WAIDG Regional Director. The Project Manager is expected to attend all municipal coordination meetings held at the Mairie de Dakar and to liaise directly with the Direction de l'Urbanisme et de l'Aménagement du Territoire (DUAT) for all planning approvals. All project communications and official documentation shall be produced in French, with English translations provided for WAIDG internal reporting purposes.
