- This Purchase Order is governed by the laws of the Republic of Singapore Singapore and shall be interpreted in accordance with the Singapore Singapore Contract (General) Act 1895 and applicable commercial regulations.
- The Supplier shall ensure that the appointed Project Manager holds a minimum of ten (10) years of demonstrated experience in large-scale infrastructure or construction project management within Singapore Singapore or equivalent international markets.
- The Project Manager shall be subject to the Buyer's site safety protocols, code of conduct, and data protection policies as mandated under the Singapore Singapore Personal Data Protection Act 2012 (PDPA).
- Payment shall be made within thirty (30) calendar days from the date of a valid tax invoice issued by the Supplier. All payments shall be remitted in Singapore Dollars (SGD) to the Supplier's designated bank account in Singapore Singapore.
- The Supplier warrants that the Project Manager shall not be engaged by any competing entity within Singapore Singapore during the term of this Purchase Order without prior written consent from the Buyer.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination, and the Project Manager shall complete a comprehensive handover report.
- All intellectual property, project documentation, and deliverables produced by the Project Manager in the course of this engagement shall vest in the Buyer upon full payment. The Supplier shall retain no copies of confidential Singapore Singapore project data.
- Disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to mediation under the Singapore Singapore Mediation Centre (SMC) before any litigation or arbitration proceedings.
- The Supplier shall maintain professional indemnity insurance of not less than SGD 5,000,000 per occurrence, valid throughout the duration of this Purchase Order, with the Buyer named as an additional insured party.
- This Purchase Order constitutes the entire agreement between the parties with respect to the engagement of the Project Manager for the Singapore Singapore Transit Expansion Programme and supersedes all prior negotiations, representations, or understandings.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Project Manager in Singapore Singapore.
