1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain, with exclusive jurisdiction vested in the Courts of Spain Madrid. Any disputes arising from the interpretation or execution of this Purchase Order relating to the Project Manager engagement shall be resolved in the competent commercial courts of the Community of Madrid.
2. Payment Terms: Invoices shall be submitted monthly in arrears. The Project Manager must be legally authorised to work in Spain Madrid and hold a valid NIE (Número de Identidad de Extranjero) if applicable.
4. Working Location: The Project Manager shall perform all duties from the buyer's premises in Spain Madrid (Calle de Serrano 125) or from the seller's office in Spain Madrid (Paseo de la Castellana 210), as directed by the Programme Steering Committee. Remote work is permitted for a maximum of one (1) day per week, subject to prior written approval.
5. Confidentiality and Data Protection: The Project Manager shall comply with the Spanish Organic Law 3/2018 on Personal Data Protection and the General Data Protection Regulation (GDPR). All project data processed in Spain Madrid shall be stored on servers located within the European Economic Area.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Project Manager shall complete all in-progress deliverables and provide a full handover report within the notice period. No further charges shall accrue beyond the termination date.
7. Insurance and Liability: The seller shall maintain professional indemnity insurance with a minimum cover of EUR 1,000,000, valid throughout the territory of Spain Madrid and the wider Community of Madrid. The Project Manager shall be covered under the seller's employer's liability policy in accordance with Spanish labour law (Estatuto de los Trabajadores).
8. Acceptance: This Purchase Order becomes effective upon countersignature by both parties. The seller's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and the scope of Project Manager services described herein.
