This Purchase Order is issued by Valencia Project Management Solutions S.L. (hereinafter referred to as the "Buyer") to Profesional Gestión y Dirección S.L. (hereinafter referred to as the "Vendor") for the provision of a senior Project Manager to oversee and coordinate the "Valencia Smart Infrastructure Development Programme" (V-SIDP). The Project Manager shall be physically based in Valencia, Spain, and shall report directly to the Buyer's Chief Executive Officer. The scope of this Purchase Order encompasses the full lifecycle management of the V-SIDP, including but not limited to planning, execution, monitoring, risk management, stakeholder communication, and final delivery of the project within the agreed timeline and budget parameters established under the Spain Valencia regional development framework.

- 3.1 This Purchase Order is governed by the laws of the Kingdom of Spain, with specific reference to the Commercial Code (Código de Comercio) and the applicable regional regulations of the Comunitat Valenciana, Spain Valencia.
- 3.2 The Vendor shall ensure that the appointed Project Manager holds a minimum of ten (10) years of demonstrated experience in large-scale infrastructure project management within the European Union, with at least three (3) years of experience working on projects located in Spain Valencia or equivalent Mediterranean urban environments.
- 3.3 The Project Manager shall comply with all applicable Spanish labour legislation, including the Estatuto de los Trabajadores (Royal Legislative Decree 2/2015), and shall be registered with the relevant social security body (Seguridad Social) in Valencia.
- 3.4 Payment shall be made via direct bank transfer (SEPA) to the Vendor's designated account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate established by the Ley 3/2004 on measures against late payment in commercial transactions.
- 3.5 The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice if the Project Manager fails to meet the performance KPIs outlined in the attached Service Level Agreement (SLA). In such an event, the Vendor shall be compensated only for services rendered up to the termination date.
- 3.6 All deliverables, reports, and documentation produced by the Project Manager in the course of this engagement shall be the exclusive property of the Buyer and shall be stored in accordance with the Spanish General Data Protection Regulation (RGPD) and the EU GDPR.
- 3.7 The Project Manager shall attend all mandatory coordination meetings held at the Valencia City Council offices (Ayuntamiento de Valencia) and shall provide weekly written status updates to the Buyer's procurement department.
- 3.8 Any disputes arising from this Purchase Order shall be resolved through the competent courts of Valencia, Spain, or through arbitration under the rules of the Valencia Chamber of Commerce, Industry, and Navigation (Cámara de Comercio, Industria y Navegación de Valencia), at the Buyer's sole discretion.
- 3.9 The Vendor warrants that the Project Manager shall not be engaged in any conflicting professional obligations during the term of this Purchase Order and shall maintain full-time availability for the V-SIDP programme.
- 3.10 This Purchase Order shall remain in full force and effect for the duration of the V-SIDP programme, estimated at eighteen (18) months from the Required Start Date, unless extended by mutual written agreement of both parties.
By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Project Manager in Valencia, Spain. This document constitutes a binding commercial agreement under Spanish law.
